About The Position

This role involves comprehensive contract review and support, ensuring legal compliance and operational efficiency. The specialist will be responsible for reviewing and revising contracts to mitigate risk, managing insurance and surety requirements, and supporting vendor approval processes. Additionally, the position entails negotiating contract terms, providing operational guidance, coordinating contractual standards with the Compliance group, and assisting in policy writing for standard terms and conditions. The role also includes research and support duties as assigned by the BII Chief Legal Officer.

Requirements

  • Certified Paralegal or Legal Specialist or equivalent experience in contract analysis.
  • Experience with contract law and legal compliance.
  • 2-3 years of legal experience in support of contract review or manufacturing operations.
  • Must be organized, detail-oriented and able to effectively manage multiple competing priorities, including working independently and presenting management with measurable progress and status of tasks.
  • Able to read lengthy contract and legal documents with proficiency and able to interpret and communicate requirements in a clear and concise manner (both oral and written).
  • Ability to apply discretion and reason in consideration of business operations (with a high level of ethical and legal integrity in exercising independent judgment).
  • Strong interpersonal skills to successfully engage necessary personnel at all organizational levels.
  • Work from headquarters office as a standard (e.g., unless on assignment or extenuating circumstances).

  • Knowledge of current and emerging developments and trends in sales contracts.

Responsibilities

  • Review and revise contracts to improve or eliminate exposure.
  • Review project insurance and surety requirements and deliver certificates of insurance and bonds.
  • Manage lien waivers.
  • Support the completion and submission of vendor approval documentation.
  • Assist with completing and maintaining standards for non-disclosure/confidentiality agreements through review and negotiation.
  • Maintain framing agreements and customer supply agreements.
  • Manage applicable document records.
  • Negotiate contract terms and provide operational guidance based on contract requirements.
  • Coordinate contractual standards and initiatives with the Compliance group, including supply chain and data privacy requirements.
  • Participate in documentation of contract deviations with legal counsel and/or executive management.
  • Create and develop written policies and procedures in support of establishing standard terms and conditions for company transactions (including sales and protection of proprietary rights).
  • Conduct research and provide support for duties as assigned by the BII Chief Legal Officer.
