About The Position

This is a high-impact, temporary-to-hire opportunity for an elite corporate paralegal looking to operate at a level equal to or beyond that of a junior associate. Working within the dynamic Corporate Practice Group, you will independently manage substantive transactions, maintenance, and compliance projects with minimal supervision. Requirements

  • 10+ years of paralegal experience specializing heavily in corporate law, with a deep understanding of corporate capitalization, the Securities Act of 1933, the Securities Exchange Act of 1934, and California/Delaware Corporations Codes.
  • Direct, hands-on experience utilizing equity management tools like Carta and Pulley, electronic data rooms (HighQ and Box), signature platforms (DocuSign and SimplyAgree), and compliance tech (SEC EDGAR Next).
  • Proven ability to manage massive volumes of data, anticipate attorney needs, exercise impeccable independent judgment, and operate with a level of expertise akin to a junior associate.
  • Possess a Bachelor’s degree (preferred) or a Paralegal Certificate. California-based candidates must strictly meet all California Paralegal Requirements.
  • Exceptional verbal and written communication skills needed to interface with high-profile clients, managing partners, and outside vendors under tight deadlines.

Responsibilities

  • Perform and maintain capitalization tables, stock ledgers, and option ledgers using specialized software.
  • Organize, prepare, and file corporate legal documents for major transactions, including Articles of Incorporation, Amendments, consents, merger documents, closing books, electronic closing sets, and short‑form closing deliverables.
  • Prepare drafts and execute Section 16 filings, utilize SEC EDGAR Next, and conduct comprehensive Blue Sky research and filings.
  • Assist with the formation of corporations, LLCs, and 501(c)(3) entities; draft by-laws, prepare stock certificates, and maintain physical and electronic minute books.
  • Manage HighQ and Box data rooms, organize matter files, develop and monitor closing checklists, and administer signature packets via DocuSign and SimplyAgree.
  • Prepare UCC searches, draft documentation for filings with Secretaries of State, the Department of Corporations, and other agencies, and compile annual reports.
