About The Position

Working with corporate in-house counsel, the Contract Manager will review, draft, and negotiate legal and commercial documents and contracts, including product purchase agreements, event agreements, services agreements, data protection and privacy agreements, RFPs, sponsorship agreements, and sales quotes. Contracts will be both for Optiv’s internal consumption and for resale to Optiv customers. The Contract Manager will ensure contracts and documents comply with Optiv policy and escalate any exceptions. The Contract Manager will work closely with internal stakeholders to ensure timing and commercial needs are met. The Contract Manager is responsible for administrative tasks related to each contract, including signature routing, creating and maintaining records in Optiv’s contract management system, and documenting any non-standard terms.

Requirements

  • Contract management experience, including contract review and negotiation, preferably in private sector settings
  • BS/BA/paralegal certificate
  • Basic contract drafting skills including proficiency with document redlining protocol
  • Understanding of common commercial contracting concepts, including limitation of liability, indemnity, product licensing, warranty, assignment, and confidentiality
  • Excellent verbal and written communication, negotiation and persuasion skills, including the ability to weigh and articulate the risk and benefit of various scenarios and propose effective resolutions

Nice To Haves

  • Experience with one or more types of ERP systems (SAP Ariba, Oracle NetSuite, etc.) preferred
  • Understanding of purchasing procedures and policies including the end-to-end source-to-pay process preferred
  • Familiarity with information security and compliance regulations preferred
  • Willingness to take on additional duties in a growing company

Responsibilities

  • Drafting and negotiating contracts with third-party vendors covering the purchase of products or services with an eye towards mitigating Optiv’s risk and ensuring market value
  • Appropriately applying principles, concepts, practices, and standards used to minimize Optiv’s risk and liability in contractual relationships
  • Using proper document change-management practices to ensure transparency and trust with internal and external stakeholders
  • Assessing financial risks of purchases
  • Preparing executive summaries requesting CFO approval for purchases
  • Ensuring that purchasing documents are complete and accurate and include appropriate and reasonable terms and conditions
  • Developing and maintaining relationships with vendors and resolving grievances with vendors
  • Preparing and processing purchase orders and requisitions for materials, supplies, equipment, and services
  • Identify and implement improvements to documents and processes that increase efficiency and reduce Optiv’s risk
  • Performing work under general direction and accomplishing core tasks autonomously
  • Participating in development of special projects as assigned by management
  • Effectively prioritizing tasks and executing tasks in a timely manner
  • Maintaining a complete and accurate centralized repository of legal documents
  • Effectively communicating Optiv’s position directly with internal stakeholders and external vendors
  • Performing other duties as assigned
