Our clients primarily include US-based healthcare providers, international health systems, and life science organizations. This position reports to the Assistant General Counsel. The candidate will be remotely based in the US, with the option to work from our office locations if desired.

Requirements

  • 8+ years of dedicated commercial contracting experience, with deep expertise in contract analysis, drafting, and detailed redlining. (Non-attorney role)
  • Hands-on experience working within digital Contract Lifecycle Management (CLM) systems and contract repositories to drive efficient review processes and workflows.
  • Superior written communication skills, with the demonstrated ability to draft clear, precise, and unambiguous contractual language.
  • Strong eye for detail and the ability to spot subtle risk allocation issues, operational traps, or inconsistencies in third-party paper.
  • Proven ability to evaluate operational workflows, identify bottlenecks, and implement practical process improvements within a legal environment.
  • Ability to balance legal risk with commercial reality, providing clear, practical analysis to internal stakeholders.
  • Exceptional time-management skills with the ability to manage a high volume of contract reviews, prioritize effectively, and meet tight deadlines.

Nice To Haves

  • Direct experience drafting/reviewing SaaS / technology licensing agreements, healthcare IT contracts, or work within the healthcare/life sciences sector.
  • Broad experience adapting to and working across various commercial contract management tools and electronic signature platforms.
  • Hands-on familiarity with HIPAA, Business Associate Agreements, data privacy standards, and IP/data rights clauses in commercial technology agreements.

Responsibilities

  • Independently conduct in-depth legal reviews and draft a wide variety of commercial agreements (both from established templates and from scratch), including customer contracts, strategic partnership/vendor agreements, Business Associate Agreements (BAAs), and non-disclosure agreements.
  • Identify key risks, legal deviations, and operational issues in complex incoming contracts, preparing comprehensive redlines and practical fallback options prior to escalation or execution.
  • Leverage enterprise Contract Lifecycle Management (CLM) systems to manage intake, refine processes, track contract stages, maintain repository accuracy, and optimize operational workflow mechanics across the legal department.
  • Partner closely with Sales, Customer Success, Product, and Business Development teams to translate business needs into clear contract terms, answer contract-related queries, and ensure compliance with internal risk boundaries.
  • Lead legal process improvement initiatives to streamline department operations and contracting speed.
  • If qualified by paralegal background and interested, assist with entity management, corporate maintenance, subsidiary filings, and routine corporate/tax administration matters.
