We are looking for a bilingual Legal Counsel to join our legal team at our Montreal-East head office. Reporting to the Vice President, Legal Affairs, this person will act as a strategic business partner by providing legal support to the company's various business units in Canada and internationally. The incumbent will be involved in a wide range of matters including commercial law, contracts, corporate transactions, regulatory compliance, environmental law, risk management, and various legal issues related to the company's operations.

Requirements

Bachelor's degree in law and a member in good standing of the Quebec Bar.
Minimum of 1-3 years of experience in commercial or corporate law.
Experience in contract negotiation and corporate transactions.
Knowledge of environmental law; experience in the recycling industry is an asset.
Excellent knowledge of Quebec and Canadian corporate law; exposure to international legal issues is an asset.
Excellent communication skills in French and English, both oral and written.
Ability to manage multiple files simultaneously and work in a dynamic environment.
Analytical skills, judgment, autonomy, and a solution-oriented approach.

Nice To Haves

Experience in labor law or litigation is an asset.
Experience in the recycling industry is an asset.

Responsibilities

Draft, review, and negotiate a wide variety of commercial contracts, including supplier agreements, sales contracts, leases, joint ventures, and other commercial agreements.
Provide practical legal advice to business teams to support daily operations.
Identify contractual risks and recommend appropriate solutions.
Participate in acquisitions, mergers, business sales, and other strategic transactions.
Provide legal support during corporate restructurings, financings, and business development initiatives.
Conduct due diligence and participate in the preparation of transactional documents.
Advise business units on applicable environmental laws and regulations.
Collaborate with environmental teams to ensure regulatory compliance.
Support the management of permits, regulatory obligations, and environmental files.
Ensure compliance with laws, regulations, internal policies, and corporate governance principles.
Develop and implement legal risk management strategies.
Advise managers on compliance issues and best practices.
Participate in the management of disputes, claims, and litigation involving the company.
Collaborate with external counsel when required.
Provide support on labor and employment law matters, when necessary.
Provide legal advice to Canadian and international operations.
Collaborate with operations, finance, human resources, purchasing, and other corporate functions.
Conduct legal monitoring to ensure the company's compliance with new regulatory requirements.
