We are looking for a bilingual Legal Counsel to join our legal team at our Montreal-East head office. Reporting to the Vice President, Legal Affairs, this person will act as a strategic business partner by providing legal support to the company's various business units in Canada and internationally. The incumbent will be involved in a wide range of matters including commercial law, contracts, corporate transactions, regulatory compliance, environmental law, risk management, and various legal issues related to the company's operations.

Requirements

  • Bachelor's degree in law and a member in good standing of the Quebec Bar.
  • Minimum of 1-3 years of experience in commercial or corporate law.
  • Experience in contract negotiation and corporate transactions.
  • Knowledge of environmental law; experience in the recycling industry is an asset.
  • Excellent knowledge of Quebec and Canadian corporate law; exposure to international legal issues is an asset.
  • Excellent communication skills in French and English, both oral and written.
  • Ability to manage multiple files simultaneously and work in a dynamic environment.
  • Analytical skills, judgment, autonomy, and a solution-oriented approach.

Nice To Haves

  • Experience in labor law or litigation is an asset.
  • Experience in the recycling industry is an asset.

Responsibilities

  • Draft, review, and negotiate a wide variety of commercial contracts, including supplier agreements, sales contracts, leases, joint ventures, and other commercial agreements.
  • Provide practical legal advice to business teams to support daily operations.
  • Identify contractual risks and recommend appropriate solutions.
  • Participate in acquisitions, mergers, business sales, and other strategic transactions.
  • Provide legal support during corporate restructurings, financings, and business development initiatives.
  • Conduct due diligence and participate in the preparation of transactional documents.
  • Advise business units on applicable environmental laws and regulations.
  • Collaborate with environmental teams to ensure regulatory compliance.
  • Support the management of permits, regulatory obligations, and environmental files.
  • Ensure compliance with laws, regulations, internal policies, and corporate governance principles.
  • Develop and implement legal risk management strategies.
  • Advise managers on compliance issues and best practices.
  • Participate in the management of disputes, claims, and litigation involving the company.
  • Collaborate with external counsel when required.
  • Provide support on labor and employment law matters, when necessary.
  • Provide legal advice to Canadian and international operations.
  • Collaborate with operations, finance, human resources, purchasing, and other corporate functions.
  • Conduct legal monitoring to ensure the company's compliance with new regulatory requirements.
