About The Position

Finalsite is a global company providing website, communications, enrollment, and marketing solutions to schools and school districts worldwide. This role is for a Company Secretary in India, responsible for leading statutory and corporate compliance for the India entity. The position will also support global HR, Finance, Payroll, and Legal teams by coordinating international compliance activities with external advisors and vendors. The goal is to ensure timely statutory compliance in India and act as a central point of coordination for global compliance and tax-related matters.

Requirements

  • Qualified Company Secretary (CS) and an Associate/Fellow Member of the Institute of Company Secretaries of India (ICSI) with a valid Membership Number (ACS/FCS).
  • 3–6 years of relevant post-qualification experience in corporate secretarial and statutory compliance.
  • Strong knowledge of the Companies Act, 2013, MCA/ROC filings, and corporate governance.
  • Experience coordinating with external auditors, legal firms, and consultants.
  • Excellent verbal and written communication skills with the ability to effectively interact with global stakeholders, external advisors, and senior leadership.
  • Strong organizational, stakeholder management, and problem-solving skills.
  • Proficiency in Microsoft Office and Google Workspace.
  • Experience working with multinational organizations.
  • Ability to manage multiple priorities in a fast-paced environment.
  • Permanent resident of India.

Responsibilities

  • Ensure compliance with the Companies Act, 2013 and other applicable corporate laws in India.
  • Manage all MCA/ROC filings, statutory registers, annual returns, and corporate records for the India entity.
  • Prepare Board and Shareholder meeting notices, agendas, minutes, and resolutions.
  • Coordinate with auditors, legal counsel, and external Company Secretaries for India compliance.
  • Monitor statutory deadlines and ensure timely compliance for the India entity.
  • Coordinate with external tax, legal, payroll, and compliance advisors across international locations.
  • Track compliance calendars, statutory filings, and regulatory deadlines globally.
  • Gather required information, maintain compliance documentation, and follow up with external advisors for timely completion of global compliance and tax activities.
  • Maintain compliance trackers, corporate records, and audit-ready documentation.
  • Identify compliance risks and escalate issues to the appropriate stakeholders.
  • Support tax audits by organizing documents and responding to information requests.
  • Gather financial and statutory information required for tax filings.
