About The Position

Rivkin Radler LLP is seeking a talented and motivated Commercial Lending Attorney with a minimum of 5 years of experience to join our expanding practice. This position offers the opportunity to work on sophisticated financing transactions representing banks, institutional and non-institutional lenders, real estate developers, and investors in a broad range of commercial lending matters. The ideal candidate will have experience handling asset-based lending transactions, commercial real estate financings, and other secured and unsecured commercial finance transactions from inception through closing. Candidates should possess strong analytical, drafting, and client-service skills, as well as the ability to manage multiple transactions in a fast-paced environment.

Requirements

  • J.D. from an accredited law school and admission to practice in New York.
  • Minimum of 5 years of experience in commercial lending and finance transactions.
  • Demonstrated ability to draft and negotiate loan documentation.
  • Experience reviewing title reports and resolving title-related issues.
  • Strong understanding of corporate and LLC structures and governance documents.
  • Excellent legal drafting, analytical, and organizational skills.
  • Strong interpersonal and relationship-building abilities.
  • Effective written and verbal communication skills.
  • Business-minded approach with the ability to read financial statements and understand financial concepts relevant to lending transactions.
  • Ability to manage multiple matters independently while working collaboratively within a team environment.

Responsibilities

  • Represent lenders, borrowers, real estate developers, and investors in complex commercial finance transactions.
  • Draft, review, and negotiate loan documents, including loan agreements, security agreements, guaranties, mortgages, and related closing documents.
  • Conduct due diligence and coordinate all aspects of transactions through closing.
  • Review, analyze, and clear title exceptions and survey matters.
  • Review and interpret corporate, partnership, and LLC organizational documents.
  • Work collaboratively with clients, title companies, borrowers' counsel, and other transaction participants to facilitate efficient closings.
  • Provide practical, business-oriented legal advice to clients.
