Commercial Counsel

Edra•New York City, NY
•Onsite

About The Position

Edra is hiring its first Commercial Counsel to bring customer contracting work in-house as its commercial pipeline grows. The role will own customer agreements from initial review through signature, build the templates, playbooks, and systems that support efficient contracting, and advise on privacy, data protection, and AI products. The Commercial Counsel will work closely with Operations, GTM, Engineering, Product, and Deployment teams, with outside counsel available for specialist support. Outside counsel will continue to own corporate governance, fundraising, the equity plan, and IP work. The initial priority is getting enterprise customer agreements signed efficiently while identifying material risks, explaining tradeoffs clearly, and finding workable solutions. The role also supports vendor and partnership agreements and occasional employment matters. Edra works in person five days a week from its New York and London offices.

Requirements

  • J.D. from an accredited law school.
  • Active membership in good standing of at least one U.S. state bar, and admission or eligibility to practice as in-house counsel in New York.
  • At least 5 years of legal experience with a substantial focus on commercial technology transactions.
  • Practical experience with privacy and data protection in software businesses, including negotiating DPAs and advising on data processing and use across the US, UK, and EU/EEA.
  • Ability to independently lead complex software negotiations and work from both company and customer paper, including with sophisticated enterprise counterparties.
  • Strong commercial judgment, including distinguishing material risks from negotiating preferences and knowing when to hold a position, find an alternative, or involve the business or outside counsel.
  • Ability to draft directly, manage competing priorities, build processes from scratch, and take ownership of work through completion.
  • Technical curiosity and ability to work effectively with technical teams.

Nice To Haves

  • In-house experience at a B2B software company is preferred.
  • Experience advising on AI products is a plus.

  • Translate legal requirements into practical advice that reflects how Edra's software works.
  • Partner with Product and Engineering early in development to advise on legal implications of new capabilities, integrations, and AI use cases.
