About The Position

Human Interest is seeking a Commercial Counsel to own and elevate the company's commercial legal function. This role requires a strong commercial attorney who can take ownership and hit the ground running. The position involves working as part of a team where everyone contributes, and the individual will own commercial matters while also having the opportunity to stretch into other areas of the team's work. The role requires agility to adapt to the fast-changing business environment. The Commercial Counsel will report to the Assistant General Counsel, Corporate & Commercial, and is expected to bring practical commercial judgment, translating legal and risk issues into actionable guidance for the business. There is significant potential for growth as the team and company scale. The legal team utilizes modern AI tooling, and this role is expected to do the same, requiring comfort and fluency with AI in daily legal work and an eagerness to advance its use.

Requirements

  • 7+ years of legal experience, including substantial in-house time at a high-growth, fast-paced company, ideally one that has scaled quickly
  • A strong commercial contracting background, whether you have run a function or been part of a larger, sophisticated team, including drafting and negotiating a broad range of B2B and SaaS agreements
  • Experience advising non-legal business teams in real time and turning legal conclusions into practical guidance
  • Deep contracting expertise, especially IP and technology licensing, SaaS terms, and data rights
  • Admitted to the bar and in good standing, or otherwise authorized to practice law (e.g., registered in-house status) in any state
  • Commercial Owner: Ready to own Commercial Legal here, bringing strong accountability and the best practices picked up from well-run teams.
  • Business-Minded and Sharp: Reads a deal for its business stakes, makes confident risk-based calls under deadline pressure, and quickly sees when to pull in the right expert or stakeholders.
  • AI-Fluent: Already leans on AI day-to-day for review, drafting, and redlining, and eager to push the function further with it.
  • Curious and Growth-Oriented: Drawn to work beyond commercial, and sees that breadth and range as a feature of the role, not a distraction from it.
  • Clear Communicator: Can make a hard issue clear to any audience, whether in a redline, an email, or a room full of stakeholders.

Responsibilities

  • Own commercial contracting end to end: Structure, draft, negotiate, and advise on the full range of agreements that keep the business moving, including customer contracts, partnerships (including white-label), vendor and SaaS agreements, and NDAs; with a Contracts Manager handling a set of high-volume and routine agreements.
  • Be the trusted advisor to the business: Be the responsive, go-to resource that gives the business clear, practical guidance and gets deals done.
  • Spot issues and pull in the right experts: Recognize when a deal raises questions beyond commercial, such as ERISA and fiduciary, investment adviser, privacy and financial data, securities, employment, consumer marketing, or product, and bring in the right expert at the right time while keeping ownership and driving the deal to close.
  • Make the function faster and more scalable: Set and execute the strategy for how the function scales, including leading our CLM implementation, incorporating AI and other tools, and building the templates, playbooks, and self-service that lets the business move quickly.
  • Support new and expanding products: Partner with Product Counsel to advise on the commercial side and build out terms of use and other foundational commercial documentation that new products and features need.
  • Grow beyond commercial: Take on corporate, governance, and other projects as the team needs.
