About The Position

Yes Energy is seeking a Commercial Counsel to manage the day-to-day commercial contracting for their electric power data and analytics solutions. This role involves reviewing, drafting, and negotiating agreements to support the company's growth, acting as the primary legal contact for the revenue organization. The position also includes managing contract administrators and collaborating with the Director of Revenue Operations to ensure efficient deal progression. The Commercial Counsel will be key in developing the contracting infrastructure, including templates, playbooks, and processes, to support scaling commercial operations, especially after recent acquisitions. This is a hands-on role with significant ownership, requiring close collaboration with sales, customer success, and product teams to facilitate deals.

Requirements

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active membership and in good standing with at least one U.S. state bar (Colorado bar preferred).
  • 3–6 years of commercial drafting and negotiation experience.
  • Heavy emphasis on revenue-generating contracts, SaaS subscriptions, technology transactions, and data licensing.
  • Demonstrated comfort working autonomously in a fast-paced, high-growth environment with a strong sense of personal accountability.
  • Excellent project management and organizational skills.
  • Proven track record of handling a high volume of concurrent deals on tight timelines.

  • Familiarity or experience with the wholesale electric power industry, utilities, or data analytics services.

Responsibilities

  • Draft, review, and negotiate a variety of commercial agreements, including SaaS subscription agreements, data licensing agreements, master services agreements, vendor agreements, and procurement contracts.
  • Serve as the primary legal advisor to sales and revenue operations teams, providing business-focused guidance to accelerate deal closure.
  • Harmonize contracting approaches across different product lines, including those from recent acquisitions.
  • Build, update, and maintain the commercial contracting infrastructure, such as standardized templates, negotiation playbooks, and automated workflows.
  • Train internal stakeholders on contract terms, risk boundaries, and self-service processes.
  • Identify and scale data privacy and protection workflows within commercial agreements, including DPAs and compliance frameworks (e.g., CCPA, GDPR).
  • Manage, mentor, and facilitate growth for two senior contract administrators.
  • Collaborate with Product, Finance, Customer Success, and Compliance teams to resolve contractual and strategic issues.
  • Independently solve complex contract challenges and escalate matters to outside counsel when necessary.
