About The Position

Ataccama is seeking a Commercial Contracts Counsel contractor to join their Legal team. This role will be a primary owner of the company's commercial contract pipeline, supporting a fast-growing, global enterprise software company. The contractor will work closely with Legal, Sales, and Customer Success to manage the day-to-day contract workflow, ensuring deals move forward efficiently and maintaining quality. The role requires flexibility to increase availability during quarter-end pushes to handle increased contract volume. The contractor will operate primarily using tools such as Linksquares (CLM), Google Drive, Slack, and Docusign.

Requirements

  • JD or equivalent legal qualification.
  • At least 3-5 years of commercial contracts experience in-house or at a law firm.
  • Solid, hands-on experience with enterprise SaaS or software licensing agreements.
  • Familiarity with data privacy concepts and comfort reviewing and negotiating data processing addenda.
  • Strong commercial instincts.
  • Ability to work independently and manage a concurrent pipeline of matters with minimal supervision.
  • Flexibility to increase availability in the final weeks of each quarter when deal volume surges.
  • Experience with a CLM platform and comfort managing signature workflows.
  • Strong written and verbal communication skills; able to explain legal concepts clearly to non-legal stakeholders in Sales and Customer Success.

Nice To Haves

  • Prior experience in enterprise data, analytics, or AI software—familiarity with data quality, governance, or agentic use cases is a bonus.
  • Experience negotiating agreements with large enterprise customers in regulated industries such as financial services, healthcare, or utilities.
  • Exposure to partner, reseller, or OEM contracting structures.

Responsibilities

  • Review, draft, and negotiate commercial agreements including MSAs, Order Forms, SOWs, Evaluation Agreements, NDAs, and DPAs.
  • Manage redlines on customer paper and Ataccama standard templates, protecting key commercial terms while keeping deals moving.
  • Own the contract lifecycle in Linksquares, including template-based drafting and Docusign signature management, keeping records accurate and up to date.
  • Advise Sales and Customer Success on contract-related questions, escalating to senior Legal counsel as appropriate.
  • Support third-party vendor and partner agreement reviews, including subcontractor, reseller, and OEM arrangements.
  • Ramp up availability during quarter-end pushes to absorb increased contract volume and work alongside the Legal team to clear the pipeline.
  • Assist with material contract review projects and due diligence requests on an as-needed basis.

Benefits

  • 185-215 CAD/hour, depending on experience.
