About The Position

We are seeking an experienced Chief Legal Officer (CLO) to lead the legal function for a growing, multi-state organization operating within the construction, reconstruction, restoration, mitigation, packout, abatement, demolition, and related services industries. The CLO will serve as the Company's senior legal executive and strategic legal advisor to executive leadership. This position is responsible for enterprise legal strategy, corporate governance, commercial contracting, litigation oversight, regulatory matters, mergers and acquisitions, and management of the Company's overall legal risk. This is not solely a contract-review position. The CLO will be expected to understand the Company's business model, evaluate enterprise-level exposure, provide decisive legal recommendations, and develop a scalable legal infrastructure to support continued organizational growth.

Requirements

  • Juris Doctor (J.D.) from an ABA-accredited law school.
  • Active license to practice law and good standing in at least one U.S. jurisdiction.
  • 10–15+ years of progressively responsible legal experience.
  • Significant corporate/in-house or comparable business-focused legal experience.
  • Demonstrated experience advising executive leadership.
  • Strong experience in commercial contracts, litigation management, corporate governance, and regulatory matters.
  • Demonstrated ability to manage outside counsel and significant legal matters.
  • Strong negotiation, analytical, and executive communication skills.

Responsibilities

  • Serve as the Company's senior legal advisor to executive leadership.
  • Develop and execute enterprise legal strategy aligned with organizational objectives.
  • Identify significant legal and regulatory exposure and provide practical recommendations to executive leadership.
  • Advise leadership regarding major business decisions, organizational changes, transactions, disputes, and emerging legal risks.
  • Establish legal escalation protocols, approval thresholds, and standards across the organization.
  • Provide legal oversight of corporate governance and organizational structure.
  • Advise regarding entity formation, acquisition, restructuring, dissolution, and multi-state qualification.
  • Oversee corporate resolutions, governance documents, delegations of authority, and related legal records.
  • Advise executive leadership regarding fiduciary and governance obligations.
  • Provide senior legal oversight for matters arising from construction, reconstruction, restoration, mitigation, packout, abatement, demolition, and related operations.
  • Advise regarding contractor licensing and construction-specific regulatory requirements.
  • Oversee significant mechanics' lien, bond, payment, construction defect, warranty, scope, change-order, delay, and project disputes.
  • Evaluate contractual risk allocation, indemnification, insurance requirements, warranties, limitation of liability, and dispute-resolution provisions.
  • Establish enterprise contracting standards, templates, approval requirements, and contracting authority.
  • Lead or oversee negotiation of significant or high-risk commercial agreements.
  • Provide legal oversight for customer agreements, master service agreements, insurer/TPA agreements, subcontractor agreements, vendor agreements, leases, professional services agreements, NDAs, and other commercial arrangements.
  • Establish appropriate contract-review and escalation processes for internal Legal and operational teams.
  • Direct enterprise litigation and dispute-resolution strategy.
  • Evaluate potential litigation exposure and determine appropriate legal response.
  • Manage outside counsel, mediation, arbitration, settlement strategy, and significant litigation.
  • Oversee litigation holds, preservation requirements, discovery, subpoenas, and other legal processes.
  • Monitor outside legal spend and counsel performance.
  • Advise regarding federal, state, and local laws affecting Company operations.
  • Provide legal guidance regarding contractor licensing, environmental and abatement requirements, OSHA matters, consumer requirements, and other regulatory obligations.
  • Monitor material legislative and regulatory developments and advise leadership regarding organizational impact.
  • Partner with Human Resources, Risk Management, Finance, Operations, Safety, IT, and other functions when legal interpretation or privileged legal advice is required.
  • Provide legal guidance to Human Resources regarding complex or high-risk employment matters.
  • Advise regarding discrimination, retaliation, harassment, wage-and-hour exposure, executive employment matters, restrictive covenants, investigations, reductions in force, and significant employee disputes.
  • Direct or oversee responses to agency charges, demand letters, attorney correspondence, administrative proceedings, and employment litigation.
  • Lead or coordinate legal due diligence associated with acquisitions, investments, divestitures, and strategic transactions.
  • Review and negotiate transaction documents in coordination with executive leadership and outside counsel.
  • Identify transaction-related legal exposure and recommend appropriate mitigation.
  • Support post-acquisition legal integration, governance, entity restructuring, contracts, and licensing.
