About The Position

Baton Corporation, the development company behind pump.fun, a dominant memecoin launchpad on Solana with significant daily volume and profit, is seeking a Chief Legal Officer (CLO). This is a newly created, senior in-house position based in New York, NY, reporting directly to the General Counsel. The role is crucial due to the complex, fast-moving, and consequential legal and regulatory environment. The CLO will serve as the principal legal advisor across regulatory affairs, product counsel, corporate governance, and cross-border compliance, requiring both technical legal depth and pragmatic commercial instinct in a low-bureaucracy, high-expectation environment.

Requirements

JD from an accredited US law school.
Admitted to the New York Bar or eligible for admission on motion.
10+ years of legal experience, combining top-tier law firm practice with meaningful in-house time in crypto, fintech, payments, or regulated financial services.
Deep, practitioner-level knowledge of US digital asset regulation (SEC/CFTC jurisdiction, FinCEN expectations, OFAC sanctions compliance).
Genuine familiarity with international regulatory frameworks: UK FCA, EU MiCA, FATF standards, and at least one APAC regime.
Experienced in managing litigation, regulatory investigations, and enforcement actions.
Experience with GDPR/CCPA, AML/sanctions compliance, and consumer protection regulation.

Responsibilities

Serve as the primary internal expert on US digital asset regulation (SEC, CFTC, FinCEN, OFAC), providing guidance to product, engineering, and commercial teams.
Own and manage the company's global regulatory posture across UK (FCA), EU (MiCA/DORA), and APAC jurisdictions, identifying exposure and developing compliance frameworks.
Lead regulatory engagement, including responding to inquiries, managing investigations, and representing the company in proceedings.
Monitor legislative and regulatory developments and translate them into actionable recommendations for senior leadership.
Oversee AML/KYC program integrity in collaboration with the Head of Compliance.
Provide timely legal review for all product launches, feature expansions, and go-to-market activities.
Draft, negotiate, and manage all commercial contracts, including partnerships, exchange listings, data and API agreements, vendor relationships, and enterprise arrangements.
Advise on data privacy obligations (GDPR, CCPA) and consumer protection requirements.
Review marketing and promotional materials for regulatory compliance.
Advise on corporate governance and board matters for the UK parent entity and subsidiaries.
Lead the company's response to litigation, class actions, and law enforcement requests, managing outside counsel.
Oversee IP strategy, including trademark registration, brand protection, and global enforcement.
Manage cross-border corporate structuring matters.
Identify emerging legal risks and build scalable internal processes.
Manage and develop outside counsel panel relationships.
Contribute to building a world-class legal function.
