About The Position

Orrick is seeking an Associate with significant experience in Commodity Futures Trading Commission ("CFTC") regulatory matters for our dynamic and growing practice. We welcome candidates with prior law firm, in-house, or relevant regulatory agency experience. This position can be based in any of Orrick's U.S. offices, with a preference for Washington, D.C. The successful candidate will work on a wide range of CFTC-related matters, advising clients on compliance with the Commodity Exchange Act ("CEA") and CFTC Regulations, engaging with new and emerging markets—including digital currency—and collaborating across practice areas on cross-disciplinary matters.

Requirements

  • At least 3 years of direct CFTC and CEA experience, preferably in the Division of Market Oversight, Market Participants Division, or Clearing and Risk Division (prior law firm, in-house, or relevant regulatory agency experience will also be considered).
  • Firsthand experience with DCM compliance issues, including prediction markets.
  • Fluency with digital currency regulatory matters.
  • Strong research, writing, and analytical skills.
  • Ability to manage multiple assignments and deadlines in a fast-paced environment.
  • Excellent communication skills and eagerness to learn.
  • Candidates must be highly motivated and possess excellent academic credentials.
  • Membership to the State Bar of the state in which the candidate expects to be located is required.

  • Experience with SEC regulations valued, but not required

Responsibilities

  • Conduct legal research and draft memoranda on matters relating to the Commodity Exchange Act ("CEA"), CFTC Regulations, and enforcement trends.
  • Review and analyze proposed registrants and business models for compliance with the CEA and Regulations.
  • Engage with new and emerging verticals in adjacent or related markets, especially involving digital currency.
  • Assist in preparing regulatory filings, including DCM, DCO, FCM, IB, SD registration documents and no-action letters.
  • Collaborate with colleagues on cross-disciplinary matters, including transactional, gaming, and litigation matters.
  • Engage in client meetings, calls, and pitches.
