About The Position

Winston Taylor is seeking a mid-level corporate associate for its capital markets and securities practice in the Houston office. The role involves working on public and private debt and equity offerings, Securities Exchange Act of 1934 reporting, and advising clients on governance matters. This includes SEC and stock exchange compliance, public company disclosure obligations, and other business and transactional issues. The firm has a broad-based securities practice, representing both issuers and underwriters in various transactions such as IPOs, follow-on public offerings, PIPEs, mergers and acquisitions, SEC reporting, and corporate governance.

Requirements

• Three to six years of experience at a large law firm.
• Experience working on public and private debt and equity offerings.
• Experience with Securities Exchange Act of 1934 reporting.
• Experience advising clients on day-to-day governance matters.
• Experience with SEC and stock exchange compliance.
• Experience with public company disclosure obligations.
• Admitted to the Texas State Bar.
