Our Capital Markets Practice Group Our Capital Markets practice spans equity capital markets, debt capital markets, and public company advisory and governance. On the equity side, we advise issuers, underwriters, and investors on IPOs, follow-on offerings, private placements, and Rule 144A offerings. Our debt capital markets work covers investment-grade and high-yield debt issuances and convertible securities. We counsel public companies on public company advisory and governance matters, including SEC reporting and compliance obligations, board composition, shareholder engagement, and disclosure. We represent clients across all sectors, and a significant portion of our practice involves cross-border transactions, advising international issuers, underwriters, and investors on U.S. capital markets access and multi-jurisdictional offerings. Our real estate investment trust (REIT) practice advises public and private REITs and real estate companies on formation, structuring, and capital-raising transactions across a broad range of real estate asset classes. Our clients range from emerging growth companies accessing the public markets for the first time to Fortune 500 companies, major financial institutions, and leading real estate sponsors. You are a collaborative, high-performing capital markets associate with 2-3 years of experience in ’33 Act transactional, ’34 Act compliance, and corporate governance matters. You have experience representing issuers, underwriters, agents, and financial institutions in public and private offerings of equity and/or debt securities. You have advised public companies on ’34 Act reporting obligations, corporate governance, and stock exchange listing requirements. You are eager to work on sophisticated, high-visibility transactions and grow your practice across a variety of clients, from emerging growth companies to established public issuers. You are admitted to the state bar in which you are practicing or are eligible to waive in. Requirements

  • 2-3 years of experience in ’33 Act transactional, ’34 Act compliance, and corporate governance matters.
  • Experience representing issuers, underwriters, agents, and financial institutions in public and private offerings of equity and/or debt securities.
  • Experience advising public companies on ’34 Act reporting obligations, corporate governance, and stock exchange listing requirements.
  • Admitted to the state bar in which you are practicing or eligible to waive in.

Responsibilities

  • Advise issuers, underwriters, and investors on IPOs, follow-on offerings, private placements, and Rule 144A offerings.
