About The Position

As an in-house lawyer at Smardt for the Americas region, you will manage a diverse portfolio of corporate and commercial legal matters spanning Canada and the United States. You will act as a strategic advisor to senior management, ensuring full regulatory compliance, mitigating risks, and negotiating high-value commercial agreements. This role requires a versatile legal professional capable of seamlessly navigating between Canadian and U.S. legal frameworks, while operating in a fast-paced and innovative environment. This role reports to the SVP CBU Americas and Global Services with a dotted line to the SVP Legal, Risk and Sustainability.

Requirements

  • Approximately 6–10 years of post-qualification experience (PQE), preferably gained in multinational or cross-border environments.
  • Strong background in corporate and commercial contracting and regulatory matters across Canada and the United States.
  • Demonstrated experience supporting cross-border legal issues and working across civil law and common law frameworks.
  • Bachelor’s degree in law (LL.B. or J.D. or equivalent); advanced legal qualifications are an asset.
  • Qualified to practice law and member in good standing of a Canadian law society (Québec or another province).
  • Practical, hands-on problem solver with strong commercial acumen.
  • Able to work independently and influence stakeholders across functions without direct authority.
  • Ability to read and understand English is required as 95% of contracts are in English

Nice To Haves

  • Experience working in manufacturing, industrial technology, energy, HVAC, or related sectors is beneficial.
  • Admission to a U.S. state bar is an advantage.
  • Bilingual English/French is preferred.
  • Additional language skills are an asset given the global nature of the role.
  • Ability to speak French with our team in Quebec
  • In a multicultural and international environment, a good command of English is necessary to interact with part of our clientele and international team.

Responsibilities

  • Draft, review, and negotiate commercial agreements for the AMER region, including: Sales, distribution, lease, service, and master supply agreements; Procurement and supplier contracts; Manufacturing, warehousing, and logistics arrangements; NDAs, licensing agreements, and project-specific terms.
  • Support regional commercial teams with contract structures, risk allocation, and negotiation strategy.
  • Advise on regulatory obligations affecting the business across Canada and the United States.
  • Ensure compliance with local requirements relating but not limited to: Commercial laws; Provincial data privacy laws and applicable U.S. frameworks; Competition/antitrust, anti-bribery, and trade compliance; Health, safety, environmental, and product regulations Implement global legal/compliance policies at the regional level and ensure appropriate local adaptation.
  • Support maintenance of regional entities, including statutory compliance and corporate records.
  • Support intercompany agreements and entity structuring, including mergers & acquisitions
  • Coordinate with external corporate and legal advisors for filings and ongoing compliance requirements.
  • Maintain proper documentation and governance records for the region.
  • Support the business with escalated legal issues related to customer and supplier disputes, warranty claims, and collections.
  • Coordinate with external counsel for litigation and regulatory matters where required.
  • Advise regional leadership and operational teams on legal and contractual risks.
  • Conduct reviews of commercial arrangements, projects, and operational matters in line with internal governance standards.
  • Support implementation of global risk and compliance frameworks within the AMER region.
  • Provide legal support for commercial initiatives, partnerships, and growth strategies.
  • Assist with restructuring, market expansion, and strategic transactions where applicable.
  • Participate in regional leadership discussions and support decision-making with practical, business-oriented legal advice.
