About The Position

Support senior professionals within the Legal Department to maintain strong, productive relationships with key internal clients while serving as a trusted legal advisor, legal risk manager, and business partner. The position involves drafting, reviewing, and negotiating a wide variety of offshore and technology-related agreements, developing and maintaining contract templates, supporting supply chain and vendor management processes, and providing legal advice on routine matters. The role also requires staying updated on relevant legislation and regulations, potentially preparing routine documents, representing the company in transactions, and developing an area of specialization to advise on emerging technologies. While serving as an individual contributor, there may be opportunities to provide ad hoc work direction and leadership to other legal staff. The role demands the ability to handle a substantial volume of complex matters with minimal supervision.

Requirements

  • Juris Doctorate degree from an ABA accredited law school and licensed to practice law in good standing
  • 5 years of post-bar experience in a law firm, government, and/or corporate settings with a focus on providing legal support on all facets of business process outsourcing and technology with a demonstrated understanding of BPO and managed service agreements, software licensing and SaaS models, cloud computing and data hosting, data privacy, information security, AI, and other emerging concepts related to technology contracts, and third party risk management frameworks.
  • Strong drafting, negotiation, and issue spotting skills.
  • Possess strong written and verbal communication skills including keeping clients informed of matters, with the ability to translate complex legal concepts into clear, practical guidance for non-legal stakeholders.
  • Ability to prioritize matters, utilize time management skills, and move between matters fluidly.
  • Ability to handle a heavy workload, manage stress effectively and meet critical deadlines
  • Team-oriented mentality and excellent interpersonal skills.
  • Demonstrated proficiency in basic computer applications, such as Microsoft Office software products.
  • Ability to work with cross functional teams, including Technology Data and Operations, Supply Chain Management, Risk, and Compliance partners.

Responsibilities

  • Draft, review, and negotiate a wide variety of offshore and technology‑related agreements on behalf of the company, including business process outsourcing and managed services agreements; Artificial Intelligence (AI), software license and SaaS agreements; cloud services, hosting, and infrastructure agreements; and professional services, implementation, and statement of work (SOW) arrangements; data processing, data sharing, and information security addenda.
  • Develop, maintain, and improve contract templates, playbooks, and negotiation guidelines to drive efficiency and consistency.
  • Support Supply Chain Management and vendor management processes, including contract lifecycle management, issue escalation, and resolution of complex negotiations.
  • Provide support to attorneys within the Legal Department, as well as lines of business under the supervision of another attorney.
  • Responsible for assessing legal risk, providing legal advice to internal stakeholders relating to routine matters, and/or assisting in resolving complex legal problems which may represent potential exposure to the company, related to business process outsourcing and technology contracting, including data privacy, cybersecurity, resiliency, and other third‑party risk considerations.
  • Keeps abreast of legislation, regulations, and case law developments that affect technology, third party contracting, the company, and the banking industry in area of practice, including but not limited to contracting, business process outsourcing, AI, privacy, cyber security, and intellectual property.
  • May prepare and/or review routine documents and other instruments, represent the company in transactions, litigation, bankruptcy matters, or alternative dispute resolutions (as applicable), and perform legal research and analysis, as well as maintaining files and records.
  • Develop an initial area of specialization to support line(s) of business, providing practical, business-focused legal advice on emerging technologies, new products, and evolving regulatory expectations.
  • Serve as an individual contributor but may provide ad hoc work direction and leadership to other legal staff regarding support on active cases or projects.
  • Effectively address and support substantial volume of varying highly complex matters with minimal supervision.
