About The Position

Ropes & Gray is seeking a transactional or funds attorney to join its Alternative Asset Opportunities practice group in San Francisco. The role advises sovereign wealth funds and other mega-investors on complex transactions across asset classes and around the world, including secondary transactions, joint ventures, co-investments, fund investments, and other strategic investment opportunities. Remote work arrangements may be considered for exceptional candidates.

Requirements

• J.D. from an accredited law school.
• Admission to practice in the relevant jurisdiction.
• Four to seven years of transactional or fund experience at a global law firm, with exposure to private equity or fund formation transactions.
• Demonstrated experience drafting and negotiating complex investment and/or fund-related agreements.
• Strong written and verbal communication skills and keen attention to detail.
• Ability to work independently and collaboratively in a team environment.
• Proficiency in leveraging AI technology and other emerging legal technology tools to improve the quality and efficiency of legal work.

Responsibilities

• Draft, review, and negotiate transaction documents for complex transactions involving private equity, credit, real estate, venture capital, and infrastructure.
• Advise on deal structuring, governance arrangements, and regulatory considerations for global transactions.
• Prepare and review transaction agreements, limited partnership agreements, subscription documents, side letters, and related documentation.
• Collaborate with colleagues across transactional, tax, finance, and regulatory teams to deliver integrated client solutions.
• Manage multiple concurrent transactions from term sheet through closing.
