About The Position

The Associate University Counsel - Transactions position primarily provides representation and advice on matters relating to contracts and procurement, research and sponsored programs, data protection, auxiliary organizations, and real estate. As a public university with an R1 Carnegie Classification, William & Mary seeks to enhance its capacity to engage efficiently and collaboratively with external entities in both the public and private spheres. This position provides broad legal support for the institution to pursue its strategic goals including through reviewing, drafting, and negotiating contracts and transactional documents and advising on related policy and compliance issues. This position also oversees litigation on contractual and pecuniary claims in state or federal courts and assesses settlement of disputes in accordance with OAG policies. The Associate University Counsel – Employment position provides representation and advice on all aspects of personnel matters for both faculty and staff, including reviewing employment policies and counseling on performance management and hiring issues. With a workforce of more than 3,000 individuals, William & Mary consistently seeks to refine the infrastructure and practices that support their development and success. This position also advises the Threat Assessment Team, oversees litigation and pre-litigation related to complaints brought by current or former employees and assesses settlement of disputes in accordance with OAG policies. Additionally, this position advises William & Mary’s FOIA officer, Registrar and records management staff on compliance with state and federal laws governing educational and other public records, and may also provide advice regarding student conduct and disciplinary processes.

Requirements

  • Excellent analytical abilities and written and oral communication skills.
  • Strong interpersonal skills, including the ability to establish relationships with clients to foster well-informed decision-making.
  • Organizational skills, including the ability to triage and prioritize requests for assistance and to manage large numbers of projects simultaneously.
  • Subject matter expertise in one or more of the following areas for the Transactions position: complex public transactions, sponsored research, technology transfer, export controls, intellectual property licensing, data regulation, procurement or real estate.
  • Subject matter expertise in one or more of the following areas for the Employment position: employment law and disputes, human resource and payroll policies and practices, Title IX, First Amendment, Virginia Freedom of Information Act (FOIA), or FERPA.
  • Must be admitted to the Virginia bar or eligible for immediate admission.

Nice To Haves

  • State government experience or experience working with higher education institutions is preferred.
