The Associate Manager, Contract Administration supports PTC’s Legal Department by coordinating and advancing the review, revision, and execution of a high volume of agreements across the enterprise. This role manages contract intake and workflow through the Contract Lifecycle Management (CLM) system, reviews and edits agreements under attorney guidance, and identifies non-standard terms or deviations from approved templates for escalation and resolution. The Associate Manager maintains contract data integrity, supports template governance, and provides reporting and operational support to enable timely, compliant contracting in accordance with PTC’s Contracting Policy and applicable SOPs, while supporting audit/SOX and Legal Operations initiatives.

Requirements

  • Associates degree and a minimum of 4 years of experience providing legal administrative/support in a law firm, the legal department of a corporation or similar legal environment.
  • Ability to review, edit, and redline agreements using approved templates, clause libraries, and playbooks; identify non-standard terms/risks and escalate appropriately under attorney guidance.
  • Working knowledge of core contract concepts, including confidentiality, data use, liability/indemnification, intellectual property, term/termination, and dispute/governing law sufficient to support attorney-guided review.
  • Experience supporting end-to-end contract workflows in a CLM system, including intake/routing, metadata standards, reporting, and process controls; ability to troubleshoot common user/workflow issues.
  • Proven ability to handle highly confidential and sensitive information with discretion and in accordance with company policies and SOPs.
  • Strong organizational and time-management skills, including the ability to prioritize and reprioritize effectively to meet deadlines in a fast-paced, matrixed environment.
  • Ability to work effectively independently and collaboratively with internal stakeholders and external parties (e.g., vendors/CROs) with a customer-service orientation.
  • Demonstrated attention to detail and ability to deliver high-quality, accurate work product (including contract records, audit-ready documentation, and reports).
  • Continuous improvement mindset with ability to identify, develop, and implement process improvements/tools that increase efficiency and data quality within Legal Operations.
  • Excellent written and verbal communication skills, including the ability to communicate clearly about process, status, and required next steps.
  • Proficiency in Microsoft Office, particularly Word (redlining/formatting), Excel (filters/pivots/reporting preferred), and Outlook.

Nice To Haves

  • Experience supporting contracting in a life sciences/pharma/biotech environment, including agreements related to clinical trials, R&D collaborations, vendor/MSA/SOWs, and supply chain/technical operations services.
  • Familiarity with contract terms addressing privacy and data protection (e.g., HIPAA/PHI concepts, GDPR/data processing terms, cross-border data transfer considerations) as applicable to contract review support.
  • Experience with SharePoint and contract repositories, including document organization, version control, and retention practices.
  • Experience with Contract Lifecycle Management (CLM) or contract management systems (e.g., workflow routing, template/clause libraries, metadata, and reporting).

Responsibilities

  • Review and edit agreements and related documents under attorney guidance to support timely contracting outcomes.
  • Identify, flag, and propose edits for non-standard terms, business risks, or deviations from approved templates/playbooks; escalate legal interpretation and higher-risk items to an attorney.
  • Support contract requesters with contracting requirements, required documentation, and process expectations (e.g., CTAs, services agreements, CDAs/NDAs, amendments).
  • Manage the end-to-end contracting workflow in CLM, including intake, coordination of Legal review, routing for internal approvals, signature coordination, and final execution.
  • Coordinate with cross-functional stakeholders (e.g., business owners, Procurement, Finance) to obtain required input and drive agreements to completion within business timelines.
  • Assist with maintaining approved contract templates and standard clauses, support controlled deployment of template updates across internal and external platforms as applicable.
  • Apply Legal department policies, contracting procedures, and SOPs to ensure contracting activity is executed consistently and in alignment with the Contracting Policy.
  • Maintain accurate contract records, metadata, and supporting documentation in CLM and designated shared drives; ensure appropriate organization and retention of executed agreements.
  • Generate routine and ad hoc reports (e.g., status, cycle times where available, renewals, expirations) for Legal and business stakeholders.
  • Troubleshoot CLM issues, track and report system defects, and provide user support/training to improve data quality and user adoption.
  • Support adherence to relevant compliance requirements and controls related to contracting, documentation, and recordkeeping.
  • Submit the quarterly Interim Request for control RLC.05 in support of SOX and/or Internal Audit testing and compliance.
  • Participate in evaluation, testing, and implementation of new systems or enhancements supporting Legal contracting operations.
  • Perform other duties and special projects as assigned.
