About The Position

The Associate General Counsel, Corporate will play a key role in managing the company’s corporate legal matters, governance framework, and strategic initiatives. Reporting to the General Counsel, this individual will support the company’s transition to public-company standards while providing legal guidance on corporate transactions, securities compliance, and day-to-day business operations. The ideal candidate combines strong corporate and securities law expertise with the ability to operate pragmatically in a fast-paced, high-growth environment.

Requirements

Juris Doctor (J.D.) from an accredited law school
Licensed to practice law in at least one U.S. jurisdiction
8–12+ years of relevant legal experience
Strong understanding of corporate governance, securities regulations, and commercial transactions

Corporate and securities law experience at a top law firm strongly preferred
In-house experience at a technology company preferred
Experience supporting public companies or IPO readiness highly desirable

Responsibilities

Support Board of Directors and committee governance, including preparation of Board materials and resolutions
Maintain corporate records and oversee entity management across domestic and international subsidiaries
Assist with implementation of public company governance practices and policies
Advise leadership on corporate governance matters and fiduciary responsibilities
Support development of disclosure controls and procedures
Assist with preparation and review of public company filings, including Forms 10-K, 10-Q, and 8-K
Coordinate with external counsel on securities law compliance and regulatory matters
Monitor developments in securities regulations and advise internal stakeholders accordingly
Support corporate development initiatives, including acquisitions, investments, and strategic partnerships
Assist in negotiation and documentation of transaction agreements
Coordinate due diligence processes and post-transaction integration from a legal perspective
Provide legal guidance on a range of commercial agreements, including customer, partner, and vendor contracts
Partner with internal teams to identify and manage legal risk across the business including with respect to employment related matters.
Develop and improve contract templates, policies, and internal processes
Support development of internal compliance policies and training programs
Partner with cross-functional teams to ensure adherence to regulatory requirements
Assist with enterprise risk management initiatives and internal investigations when necessary
Coordinate with outside counsel on corporate, securities, and transactional matters
Manage legal budgets and ensure efficient use of external advisors
