About The Position

Ferring, a privately-owned biopharmaceutical company, is seeking an experienced Corporate M&A lawyer to join its in-house legal team. The Associate General Counsel, Business Development will report to the US General Counsel and collaborate with senior leaders on complex business transactions. Requirements

  • Juris Doctor from an accredited law school with a minimum of 10 years experience
  • Experience in general corporate and transactional matters in the pharmaceutical industry preferred
  • Substantial drafting experience of asset purchase agreements and complex business arrangements
  • Individual must be a team player, self-motivated, able to demonstrate a history of successfully resolving challenging legal issues and able to effectively deliver sound and clear legal advice in a business setting
  • Ability to work cross-functionally and build consensus among various stakeholders while maintaining a compliant approach

Responsibilities

  • Lead attorney to partner with Ferring’s Global Business Development team in all phases of pharmaceutical innovation, including negotiating mergers, acquisitions, divestitures, supply, distribution, licenses, joint ventures and other complex transactions.
  • Spot legal issues, advise on deal structure and related legal issues (e.g., anti-trust).
  • Lead closings, manage legal due diligence and clearly communicate risks and mitigation strategies.
  • Negotiate, draft, review and interpret term sheets, letters of intent, and complex agreements.
  • Provide legal advice concerning alliance management issues.
  • Advise, educate and guide business functions on legal and compliance aspects of all pharmaceutical and transactional activities.
  • Collaborate effectively with internal global functions including Compliance, Privacy, Intellectual Property and Medical Affairs.
  • Direct and manage outside counsel.
  • Advise business leaders on matters of corporate law.
  • Stay current on trends in the pharmaceutical industry and changes in the law and relevant government agencies.
  • Other duties as assigned by US General Counsel
