About The Position

Ferring, a privately-owned biopharmaceutical company, is seeking an experienced Corporate M&A lawyer to join its in-house legal team. The Associate General Counsel, Business Development will report to the US General Counsel and collaborate with senior leaders on complex business transactions. Requirements

Juris Doctor from an accredited law school with a minimum of 10 years experience
Experience in general corporate and transactional matters in the pharmaceutical industry preferred
Substantial drafting experience of asset purchase agreements and complex business arrangements
Individual must be a team player, self-motivated, able to demonstrate a history of successfully resolving challenging legal issues and able to effectively deliver sound and clear legal advice in a business setting
Ability to work cross-functionally and build consensus among various stakeholders while maintaining a compliant approach

Responsibilities

Lead attorney to partner with Ferring’s Global Business Development team in all phases of pharmaceutical innovation, including negotiating mergers, acquisitions, divestitures, supply, distribution, licenses, joint ventures and other complex transactions.
Spot legal issues, advise on deal structure and related legal issues (e.g., anti-trust).
Lead closings, manage legal due diligence and clearly communicate risks and mitigation strategies.
Negotiate, draft, review and interpret term sheets, letters of intent, and complex agreements.
Provide legal advice concerning alliance management issues.
Advise, educate and guide business functions on legal and compliance aspects of all pharmaceutical and transactional activities.
Collaborate effectively with internal global functions including Compliance, Privacy, Intellectual Property and Medical Affairs.
Direct and manage outside counsel.
Advise business leaders on matters of corporate law.
Stay current on trends in the pharmaceutical industry and changes in the law and relevant government agencies.
