About The Position

The Associate Counsel will play a key role in supporting the contracting function of the Legal Department and will also help support other areas of the business.

Requirements

  • 0-2 years of experience as in-house counsel, or a combination of in-house experience, government experience, and/or experience at a nationally recognized law firm specializing in the specific responsibilities provided above
  • Juris Doctorate from an accredited law school
  • Admitted to practice in California or admitted in another state and able to obtain in-house counsel registration in California
  • Experience in contract law, including strong drafting, review, and proofing skills, and demonstrated attention to detail in document drafting
  • Understanding of contracts and knowledge of key provisions of such agreements such as indemnities, limitations of liability, intellectual property, warranties and covenants, regulatory provisions, performance obligations, dispute resolution, termination and other critical contract negotiation issues
  • Able to build strong relationships with peers and partners both within and across functional teams to engage high performance in a fast-moving environment
  • Able to assimilate information quickly, grasping critical factors and risks, while implementing immediate change where and when needed
  • Excellent written and oral communication skills
  • Exhibits a flexible and dynamic approach to working in a fast-paced biotechnology company
  • Able to multitask efficiently and willing to perform all necessary tasks, regardless of level, to facilitate success at driving a project to completion
  • In depth knowledge of Microsoft Office tools, including Word, Excel, PowerPoint, Outlook, and Windows, as well as document comparison tools

Nice To Haves

  • Undergraduate degree in life sciences or healthcare-related field preferred, but not required

Responsibilities

  • Review, negotiate and manage third party contracts, including master services agreements, commercial agreements, consulting agreements, confidentiality agreements, collaboration agreements, supply agreements and other agreements
  • Manage and analyze existing contract templates and work to develop new templates and updating existing templates in accordance with company guidelines and policies or Legal Department requirements
  • Supports and advises internal clients on the company’s contract management system and policies
  • Works collaboratively with other in-house attorneys and paralegals in the Legal Department to quickly achieve goals
  • Create and conduct legal training for employees and provide on-going training to internal clients on contract processes and other company policies
  • Research, analyze and make appropriate recommendations to business partners in order to resolve legal and business issues
  • Prepare contract summaries and issue lists for executives
  • Monitor compliance with internal company business and legal processes and policies
