About The Position

Triple Whale is seeking an Associate Corporate Counsel to join their legal team as the second hire. This role will be a key resource for Triple Whale's commercial operations, supporting the entire lifecycle of customer and vendor relationships. The position involves building the legal infrastructure necessary for company scaling and offers high visibility, broad business exposure, and a clear path for growth.

Requirements

  • JD from an accredited law school
  • Active member in good standing of the New York bar (or eligible for in-house registration)
  • 2+ years of legal experience, ideally with exposure to commercial transactions, technology agreements, or general corporate work
  • Prior experience at a law firm, in-house legal team, or a combination of both
  • Strong drafting, negotiation, and communication skills
  • Highly organized, with the ability to manage multiple workstreams and prioritize independently
  • Comfortable working in a fast-paced environment with evolving priorities and limited established process
  • A collaborative, low-ego approach to problem-solving

Nice To Haves

  • Familiarity with SaaS/technology agreements and e-commerce business models is a plus

Responsibilities

  • Draft, review, and negotiate commercial agreements, including SaaS subscription agreements, order forms, amendments, and statements of work.
  • Review and negotiate vendor and procurement contracts.
  • Manage NDA workflows and maintain standardized templates.
  • Maintain and organize the company's data room and key contract records.
  • Conduct legal research on emerging issues relevant to Triple Whale's products and business.
  • Support data privacy and data protection compliance efforts, including reviewing and negotiating data processing agreements.
  • Help develop and maintain contract playbooks, clause libraries, and internal legal resources.
  • Triage and respond to inbound legal requests from sales, partnerships, finance, and other business teams.
  • Assist with corporate governance and entity management tasks as needed.
  • Support product and engineering teams on terms of service, acceptable use policies, and API/data licensing matters as they arise.
  • Contribute to legal ops improvements and process-building as the legal function scales.

Benefits

  • Base Compensation Range: $125,000-$150,000
