Our Business Law Group is growing, and we are seeking an Associate to join our Toronto office. In this role, you will work alongside experienced practitioners advising clients on a broad range of business law matters, including corporate transactions, commercial agreements, corporate reorganizations, and general corporate advisory work. Requirements

4–6 years of business law experience gained at a leading law firm
J.D. or LL.B. from an accredited law school and membership in good standing with the Law Society of Ontario
Strong experience advising on business law matters, including corporate transactions, commercial agreements, corporate reorganizations, and general corporate advisory matters
Excellent drafting, research, analytical, and problem-solving skills
Proven ability to manage competing priorities and deliver high-quality work within tight timelines
Strong client service orientation and the ability to build effective relationships with internal and external stakeholders
Collaborative approach to working within multidisciplinary teams
Superior academic credentials, sound professional judgment, and a commitment to the highest ethical standards and integrity

Responsibilities

Advise clients on legal matters related to their day-to-day business operations
Draft and negotiate shareholders' agreements, share and asset purchase agreements, commercial contracts, and other business law documents
Conduct and coordinate due diligence activities for transactional matters and corporate reorganizations
Research complex legal issues and prepare memoranda and legal opinions on a variety of business law matters
Collaborate with legal and non-legal professionals across KPMG to develop integrated client solutions
Manage multiple files while maintaining high standards of quality, accuracy, and client service
Contribute to client relationship management and business development initiatives
Support the continued growth of the Business Law Group and broader KPMG Law practice
