Associate Attorney
About The Position
This is a strong opportunity for an early-career attorney to build a foundation in corporate and transactional law, working alongside experienced attorneys on real deals from day one. Kelleher + Holland, LLC is a full-service law firm with a robust corporate and transactional practice, advising closely held businesses, entrepreneurs, and individuals across a wide range of matters. We're seeking an entry-level Corporate Attorney to support our transactional team, with the opportunity to develop hands-on deal experience under the mentorship of senior attorneys. The Corporate Attorney will work closely with senior attorneys on M&A and business transactions, taking on increasing responsibility for drafting, due diligence, and client support as skills develop. This role is ideal for a recently admitted attorney with 1–3 years of corporate or transactional experience who wants to grow into a business-advisor role.
Requirements
- Active license to practice law in Illinois; additional bar admissions a plus
- 1–3 years of corporate or transactional experience preferred; strong academic or clerkship background considered
- Strong drafting and research skills
- Genuine interest in business law and client-facing transactional work
Responsibilities
- Draft and review purchase agreements, operating agreements, and related corporate documents
- Assist with due diligence and transaction timeline management
- Support entity formation, governance, and general corporate matters
- Conduct legal research on corporate and transactional issues
- Support client communications under attorney supervision
