As a Portfolio Manager II within Sponsor Finance, you will be responsible for analyzing, structuring, underwriting, and coordinating the closing of complex loan transactions for private-equity-backed software, SaaS, and technology-enabled companies in compliance with the Bank's lending policies and procedures. Working closely with the Vice President, Commercial Banker, you will evaluate leveraged buyouts, acquisition financings, recapitalizations, growth capital, and refinancing opportunities, while ensuring credit risks are appropriately identified, monitored, and managed throughout the life of the relationship. The Portfolio Manager will assist in attaining established Bank, region, and business line goals through active participation in underwriting, closing, and managing desirable sponsor-backed credits, while maintaining strong relationships with private equity firms, company management teams, and internal partners. In addition, you will be responsible for ongoing portfolio management activities, including financial performance analysis, covenant compliance monitoring, risk rating assessments, and ensuring adherence to all Bank policies and procedures as well as applicable state and federal banking regulations. Perform detailed credit underwriting and financial analysis of sponsor-backed software, SaaS, tech-enabled services, and recurring revenue businesses, including assessment of revenue quality, customer concentration, retention metrics, cash flow generation, leverage capacity, liquidity, and enterprise value. Evaluate acquisition financing, leveraged buyout, recapitalization, growth capital, add-on acquisition, and refinancing opportunities sponsored by private equity firms. Develop and recommend debt structures, covenant packages, collateral arrangements, pricing, and overall risk mitigation strategies that align with the Bank's credit appetite and sponsor finance lending framework. Prepare comprehensive credit approval memoranda and portfolio reviews for presentation to Senior Credit Officers, Loan Committee, and executive management. Partner closely with Relationship Managers, Credit Officers, Loan Closers, Treasury Management, Capital Markets, and external legal counsel to facilitate timely transaction execution. Maintain active dialogue with private equity sponsors, management teams, financial sponsors, investment bankers, and other transaction stakeholders throughout underwriting, closing, and portfolio management processes. Monitor ongoing borrower performance through quarterly and annual financial reviews, covenant compliance testing, liquidity analysis, leverage trends, operating performance assessments, and sponsor support evaluations. Identify emerging credit risks, adverse trends, covenant pressures, refinancing concerns, or operational challenges, and proactively recommend appropriate risk mitigation actions.
