About The Position

The Office of the General Counsel (OGC) is seeking an Assistant Vice President of Risk Management who will provide comprehensive risk management and compliance services to support the mission and operations of Monmouth University. This position serves to support the Vice President and General Counsel on a broad range of risk management and compliance, with an emphasis on contract review, risk management, insurance, data privacy, intellectual property, compliance, and issues unique to higher education. The ideal candidate will be a strategic thinker and collaborative problem solver, capable of navigating the risk management landscape of a complex higher education institution. The ability to balance multiple and competing deadlines in a fast-paced environment is critical. This is an in person or hybrid position based on University policy.

Requirements

  • Juris Doctor (J.D.) degree from an ABA accredited law school.
  • Minimum three (3) years of experience in managing a wide range of risk management, insurance, and/or compliance functions.
  • At least three (3) years of higher education, in-house legal or insurance firm experience.
  • Strong legal research, excellent analytical and problem-solving skills including the ability to resolve complex issues.
  • Strong interpersonal and communication skills and ability to deal credibly and effectively with the University community.
  • An approach that inspires trust and confidence through actions that demonstrate integrity, transparency, and a strong work ethic.
  • Demonstrated ability to manage multiple priorities and work effectively in a collaborative environment.

Nice To Haves

  • Admission to the bar and in good standing in the State of New Jersey or the ability to be admitted to the bar in the State of New Jersey or obtain an in-house counsel limited license.
  • Practical experience in claims administration including property, auto, general liability, cyber, and other policies.
  • Experience negotiating complex contracts.
  • Experience handling academic research and compliance issues.
  • Experience negotiating contracts utilizing an electronic contract administration system, preferably HighQ.
  • Experience negotiating intellectual property, trademark and licensing agreements.
  • Experience preparing and delivering board level presentations to various stakeholders.

Responsibilities

  • Primarily responsible for the procurement and administration of the University’s risk management program (property insurance, general and automobile liability, environmental, cyber, workers’ compensation, professional liability, sports accident and other related University coverages) and work with the Vice President and General Counsel and University’s insurance brokers to administer multi-line insurance renewal process, select and structure insurance programs and procure adequate insurance.
  • Responsible for processing and administration of insurance claims against the University.
  • Review and negotiate appropriate insurance coverage and requirements in contracts; coordinate with insurance providers to ensure adequate coverage for institutional activities and events; provide certificate of insurance for campus departments and 3rd party requestors.
  • Draft, review, and negotiate insurance-related provisions in contracts, including indemnity clauses, waivers, and hold harmless agreements.
  • Collaborate to identify, assess, and mitigate legal risks, including developing strategies and best practices for risk reduction.
  • Assist the Director of Internal Audit and Enterprise Risk in the University’s comprehensive enterprise risk management framework.
  • Maintain records and documentation regarding insurance policies, claims and other insurance matters.
  • Monitor and manage claims in coordination with the Vice President and General Counsel, insurers and external counsel.
  • Assist the Vice President and General Counsel as needed to coordinate with outside counsel in managing litigation, administrative proceedings, and dispute resolution matters.
  • Conduct legal research and analysis and draft legal memoranda, correspondence, policies and reports on behalf of the OGC.
  • Assist the Vice President and General Counsel in responding to subpoenas, discovery and information requests.
  • Draft, review, interpret, and amend (as needed) University policies and procedures, particularly those related to contracts, data privacy, intellectual property, risk management and insurance and ensure that policies are aligned with federal and state law and regulatory requirements.
  • Assist in ensuring compliance with applicable federal, state, and local laws and regulations including OMB Uniform Guidance, Title IX, FERPA, ADA, NJLAD, FLSA, Clery, NCAA, and other higher education-specific statutes.
  • Advise University leadership on compliance with state and federal laws across diverse fields.
  • Provide guidance and support to University trustees, senior leadership, faculty, administrative staff, as well as the Bruce Springsteen Center for American Music (BSCAM) directors and staff, on a range of risk management and compliance issues, primarily with a focus on contracts, intellectual property, data privacy, gift and collection agreements, risk management, compliance, insurance coverage, policy interpretation, and contractual risk transfer.
  • Oversee minors on campus compliance.
  • Create and deliver training and educational workshops to the campus community on various compliance and risk management topics.
  • Draft, review, and negotiate a wide array of contracts and agreements, including, but not limited to, agreements related to purchase of services, grants, construction agreements, technology and software agreements, licensing agreements, real estate transactions, gift and collection agreements, affiliation and collaboration agreements, data privacy, leases, and agreements related to other domestic and international transactions, and ensure compliance with applicable laws, institutional policies, and risk management principles.
  • Oversee the Office of the General Counsel’s implementation of effective and efficient contract systems (manual and/or software), policies, processes, and trainings.
  • Assist the Vice President and General Counsel with negotiations of contracts for the Bruce Springsteen Center for American Music, including licensing agreements, exhibition agreements, intellectual property and trademark agreements, production agreements, consultant agreements, and releases and authorizations as needed.
  • Serve on University committees to provide risk management and compliance input on committee work.
  • Attend Audit and Legal Board of Trustee committee meeting and other Board meetings as necessary.
  • Assist the Vice President and General Counsel with preparation of board resolutions and other board materials for the University Board of Trustees and BSCAM Board of Directors.
  • Attend University and BSCAM Board and serve and/or attend Board committee meetings as needed and requested by the Vice President and General Counsel.
  • Supports the strategic priorities of the Office of the General Counsel and/or performs other legal duties as assigned.
  • Assist the Vice President and General Counsel in labor negotiations, labor relations and mediation of employee matters.
  • Prepare strategic communications as needed.
