As the company continues to grow, we are seeking an experienced and practical Assistant General Counsel to join the Legal team. Reporting to the General Counsel, this role will serve as a key advisor to senior leadership across a global enterprise. This is more than a traditional in-house legal role. It is an opportunity to help guide a growing global organization. You’ll join a collaborative leadership team, contribute to meaningful business decisions, and have a direct impact on the continued evolution of the enterprise. This is a regular full-time Denver office based, salaried role with a base salary up to $240,000/year, eligibility for a short‑term incentive target of 30% of base salary, $60,000 annual LTI grant target, flex time off within established guidelines, and a comprehensive benefits package The ideal candidate is a business-minded lawyer who can balance legal risk with practical solutions, communicate clearly, and work effectively across a broad range of corporate matters in a fast-moving environment. Primary responsibilities include corporate governance, securities compliance, and support for mergers & acquisitions, while providing timely, strategic legal advice and helping ensure business practices are aligned with the enterprise’s objectives. This position requires a strong business acumen, excellent judgement and the ability to build trusted relationships with both legal and non-legal stakeholders. The ideal team member has developed a range of instincts to spot, analyze, and resolve most issues and has skills in navigating and managing complex transactions, and ensuring compliance with applicable laws and regulations, including but not limited to, Securities and Exchange Commission (SEC) requirements.

Requirements

  • Candidate must have a J.D. from an ABA-accredited law school
  • Must possess active bar membership in good standings in at least one U.S. jurisdiction
  • Minimum 7 years of experience advising on a wide range of corporate business and commercial matters.
  • Relevant legal experience, particularly in the area of securities law and M&A, preferably at a public company.
  • Strong working knowledge of SEC regulations and public company reporting obligations.
  • Proven experience under various types of vendor contract work and working with cross-functional groups.
  • Excellent drafting, negotiation and analytical skills.
  • Keen pragmatic business sense with solid judgment and analytical skills providing solutions-oriented advice.
  • Ability to multitask and work efficiently in a fast-paced, high-volume environment.
  • High level of professionalism and ability to interact with executive leadership and board members.

Responsibilities

  • Support the General Counsel in advising Pursuit Executive Leadership and the Board of Directors on corporate governance matters, as well as preparing materials and information for Board and Committee meetings
  • Manage and oversee SEC filings, including Section 16 reporting, Forms 10-K, 10-Q, 8-K, proxy statements and other required disclosures. Collaborate with internal stakeholders and external advisors on disclosure requirements.
  • Support M&A transactions, including due diligence, risk assessment, coordination with cross-functional teams, and collaboration with outside counsel both in the United States and internationally.
  • Offer day-to-day legal advice directly influencing business strategy for the global enterprise (currently including United States, Canada, Costa Rica & Iceland).
  • Draft, review and update documents as necessary, including, but not limited to committee charters, insider trading policies, governance guidelines, policies & procedures and codes of business conduct.
