About The Position

The Fastly Legal team is looking for a Commercial Legal leader, deal lawyer and lifelong learner to lead and grow our dynamic Commercial Legal attorneys in the US. We are seeking an experienced people manager and talented negotiator who solves problems practically, thinks creatively and thrives in a fast paced, growth environment. This leader will be responsible for managing Commercial Legal attorneys, providing strategic guidance on complex deals, and partnering with cross-functional leadership to scale our Commercial Legal function in the US. This is a high-visibility opportunity to build and grow a best-in-class team as Fastly’s business scales. Ideal candidates have strong foundational law firm training, a proven track record of developing and mentoring attorneys, and experience with legal issues relevant to CDN, Security or other B2B SaaS models. This position is open to candidates based in San Francisco or New York, and reports to the Associate General Counsel of Commercial Legal.

Requirements

  • JD and member of the New York, California or other applicable US bar in good standing
  • 12+ years of combined law firm and in-house experience, including at least 4 years of law firm experience at a respected firm, and at least 4 years of in-house experience at a B2B technology company focused on revenue-generating commercial transactions
  • At least 2 years of experience managing attorneys and/or non-attorney legal professionals
  • Deep experience negotiating to successful and timely closure enterprise cloud, infrastructure, usage-based and consumption pricing model purchase terms, SaaS sales and partnership agreements
  • Demonstrated ability to acquire deep knowledge of Fastly’s products in the technology space
  • Experience leading US legal support for GTM organizations, keeping pace with new product launches and a steady volume of commercial transactions in a fast-paced, high-growth environment
  • Expertise with commercial legal implications of AI, data privacy and other regulatory frameworks in the US
  • Established track record of effective leadership presence and interpersonal cross-functional credibility. You will regularly partner with senior leaders, global counterparts and external parties at a senior engagement level
  • Skilled at working independently and proactively executing without requiring close supervision. This role requires sound judgment in proactively identifying business needs, building trust and integrating with the business, and being comfortable working with colleagues in different offices and locations
  • Demonstrated ability to distinguish issues that require escalation to global legal leadership and other cross-functional experts from those that can be efficiently resolved independently
  • Excellent analytical and communication skills; strong attention to detail and clean, error-free execution

Responsibilities

  • Manage and mentor Commercial Legal attorneys based in the US, providing leadership on complex deals and professional development guidance
  • Lead and close complex MSA and partnership agreement negotiations with enterprise customers and channel partners in the US
  • Advise on commercial intersection with data privacy law and AI regulations; draft and negotiate data processing agreements and AI-related commercial terms
  • Independently draft, review, and negotiate other agreements to support the US business, including infrastructure and various vendor agreements
  • Act as strategic partner to our GTM leaders in the US, as well as other key cross-functional stakeholders including Deal Desk, Security, Procurement and Revenue Accounting
  • Optimize Commercial Legal templates, playbooks, checklists and other internal resources to share knowledge, increase contract negotiation velocity
  • Maintain alignment of our contracts with market expectations, US regulatory requirements and Fastly’s products and operations
