Requirements

  • JD from an accredited law school with exceptional academic credentials required.
  • Admitted to practice in at least one state and willingness to apply for admission to practice in Colorado if relocating to Colorado.
  • At least 10 years of combined top law firm and/or in-house experience – with a preference for a combination of the two.
  • Extensive experience with intellectual property, IT, M&A transactions, corporate governance, litigation management, employment law, and commercial contracts: reviewing, drafting, and negotiating a wide range of commercial agreements including but not limited to software licensing, SaaS, vendor/procurement or sales/service agreements, real estate, professional services agreements, and non-disclosure agreements.
  • Knowledge of laws relevant to the sale and marketing of software including with respect to licensing, data protection/privacy, intellectual property, IT, antitrust, export control and regulatory compliance.
  • Possess a high level of professionalism and outstanding business judgment.
  • Experience and comfort working with and advising business internal clients directly.
  • Able to work in a fast-paced environment with the ability to handle multiple, competing workloads with changing priorities to meet necessary deadlines; has an inherent drive to solve problems collaboratively and mentor team members.

  • Preference is for candidate to reside or be willing to relocate to Denver metropolitan area.
  • Experience representing clients in the software and/or professional services related industries preferred.

Responsibilities

  • Providing a broad range of legal services to the company, both directly and in conjunction with outside counsel, with a significant focus on intellectual property protection, contract drafting and negotiation, employment law, managing outside counsel, information and risk management, real estate, and litigation management including subpoenas, arbitration, dispute resolution, and settlements.
  • Reporting directly to, and working closely with, the General Counsel on a wide range of matters and acting as a business partner who will collaborate effectively across the company to help the business identify and implement practical business solutions to achieve its goals.
  • Advising the company and senior leadership on a broad range of federal and state regulatory and compliance matters including identifying areas of risk and making suggestions for improvement.
  • Serving as the lead attorney and business partner for Human Resources to manage Labor and Employment compliance for the global team.
  • Serving as the lead attorney and business partner for the Privacy and Compliance team supporting the global organization including foreign based subsidiaries.
  • Managing specific litigation matters for the company, including intellectual property, real estate, employment, contract and tort claims as they arise through to resolution (in court, arbitration or settlement).
  • Leading the intellectual property portfolio including copyrights, trademarks and patents.
  • Supervising the business partner program including partner vetting and complex partner negotiations and contracting.
  • Directly managing the legal intern program including direct supervision of rolling interns.
  • Assisting the General Counsel with department management functions including budget planning and spend to budget forecast.
  • Assisting General Counsel with subsidiary Board responsibilities including corporate governance and minute book creation and management.
  • Working with the sales department to review, revise and negotiate complex sales agreements in Salesforce and regarding contract workflow.
  • Working independently as the lead attorney on many matters and collaboratively with other attorneys in the department, as well as outside counsel, on certain matters and General Counsel on more significant matters.
  • Leading significant projects, both within the legal department and across a variety of functions.
  • Continually improving the efficiency and effectiveness of business processes, following all applicable best practices, processes and procedures.
