About The Position

This position will provide legal support and counsel on public company securities law compliance and corporate governance. With respect to securities law, this role will support the Company’s compliance with US & Canadian securities laws and all other regulations related to operating as a public company. With respect to corporate governance, this position will be responsible for preparing materials for board and shareholders meetings, board committee meetings, and management of corporate entities. The position will also provide support in the corporate finance area. The successful candidate will be a detail-oriented, hands-on legal professional who brings strong technical expertise, sound judgment, and the ability to manage multiple priorities effectively.

Requirements

  • A Juris Doctor degree from an accredited law school
  • Active membership in at least one US state bar
  • 8+ years of experience practicing securities law
  • Deep knowledge of: Securities Act of 1933, Securities Exchange Act of 1934. SEC disclosure requirements, Corporate governance principles, Public company reporting obligations
  • Strong drafting and analytical skills. Including drafting and preparing all documents required to be filed by public companies
  • Familiarity with regulations and best practices for public companies
  • Strong communication and interpersonal skills
  • Sound business judgement and practical problem-solving skills
  • Ability to balance legal risk with commercial objectives
  • Effective communication skills and comfort working cross-functionally with senior stakeholders on complex legal matters

Nice To Haves

  • Canadian regulations a plus, but not required

Responsibilities

  • Compliance with rules and regulations of the U.S. Securities and Exchange Commission, including preparing annual and quarterly reports on Forms 10-K and 10-Q, Form 8-Ks, Section 16 filings (Forms 3, 4, and 5) and other SEC filings
  • Advise on disclosure obligations and material assessments
  • Maintain and implement disclosure controls and procedures
  • Monitor changes in securities laws, stock exchanges requirements and governance best practices
  • Compliance with NYSE rules and regulations (Canadian regulations a plus, but not required)
  • Draft all proxy statement related materials, manage proxy solicitation and annual shareholders’ meeting
  • Provides legal support to the Corporate Secretary, including preparing Board and Committee meeting materials such as agendas, corporate governance related materials, corporate resolutions, and meeting minutes for Board of Directors and Committee meetings
  • Provides legal support and guidance with respect to executive compensation, as well as equity plan administration and trading windows, and monitoring 10b5-1 plans and Section 16 obligations
  • Review, negotiate, and draft financing documents including indentures, credit agreements, and related documents
  • Support corporate governance and finance activities
  • Prepare, update and manage corporate governance policies and charters
  • Administer insider trading policies and compliance programs
  • Provides legal support for external communications such as earnings releases, press releases, investor presentations and marketing materials, and Company websites.
  • Support Regulation FD compliance and assist with disclosure strategy
  • Provide legal support for the maintenance of Company subsidiaries
