Vice President, Transaction Advisory Services (Financial Due Diligence)

Intrinsic LLCChicago, IL
$133,000 - $173,000Hybrid

About The Position

The Vice President in the Transaction Advisory Services practice is responsible for analytical ownership and engagement coordination. This role is central to the execution of active deals, requiring deep analytical understanding to identify critical issues, leadership to direct the team, shape deliverables, and serve as a client contact. The position bridges the execution layer of Senior Associates and the strategic layer of Directors, ensuring engagements progress efficiently, maintaining the quality of databooks and reports, and developing junior talent through real-time coaching. The ideal candidate has strong fundamentals in buy-side and sell-side diligence, can confidently run Quality of Earnings (QoE) analyses, and seeks to grow leadership skills within a firm that values rigor and provides visibility.

Requirements

  • 5+ years of progressive experience in financial due diligence at a Big 4 TAS or Deals practice, a national advisory firm, or a comparable transaction environment.
  • Proven ability to lead QoE analyses and full-scope diligence workstreams with meaningful autonomy.
  • Solid command of US GAAP as applied in transaction contexts: EBITDA normalization, working capital mechanics, debt-like structuring, and accounting judgments in middle-market deals.
  • Exposure to a range of industries through buy-side and sell-side diligence.
  • Bachelor's degree in Accounting or Finance.
  • CPA required (active or eligible).
  • Strong Excel skills and comfort handling large, complex datasets on deal timelines.
  • Takes ownership of workstreams: tracks what is open, anticipates next steps, and communicates clearly when circumstances shift.
  • Holds self to a high standard of self-review; work is organized and accurate before submission.
  • Translates numbers into narrative: can explain the impact of QoE adjustments on the deal.
  • Develops people around them: provides direct, specific feedback aimed at improving the team.
  • Stays composed under deal pressure: compressed timelines and incomplete data sharpen focus rather than compromise judgment.

Responsibilities

  • Own the day-to-day execution of financial due diligence engagements, building and driving analysis alongside the team.
  • Lead and coordinate buy-side and sell-side financial due diligence engagements across various industries and transaction types, under the direction of a Director or Managing Director.
  • Run quality of earnings analyses, net working capital assessments, and debt and debt-like item reviews, making sound judgment calls on normalization items, accounting policy questions, and data gaps.
  • Manage the request list process, tracking outstanding items, coordinating with target company management and advisors, and ensuring timely delivery.
  • Structure and populate databooks and analytical workpapers with a high standard of accuracy and organization.
  • Draft report sections covering key findings, quality of earnings adjustments, working capital analysis, and deal considerations, communicating conclusions clearly.
  • Direct and review the work of Senior Associates and Associates, ensuring accuracy, analytical rigor, and clarity in deliverables.
  • Delegate workstreams appropriately and track progress across multiple team members and concurrent tasks.
  • Provide specific, real-time coaching to junior team members on technical concepts, workpaper standards, and professional judgment.
  • Model the work ethic, quality standard, and communication approach of the Intrinsic TAS practice.
  • Serve as a day-to-day point of contact for client deal teams, handling status updates, clarification requests, and routine communication.
  • Lead and participate in management interviews and diligence calls with target company finance teams, applying judgment to identify relevant questions and follow-ups.
  • Coordinate across internal workstreams and with third-party advisors including legal, tax, and other diligence specialists.
