The Business Selection & Conflicts Group (BSC) is the first point of contact within Investment Banking on potential new business mandates as well as queries regarding ongoing transactions. BSC clears all new potential business mandates, as well as the signing of all confidentiality obligations, to confirm potential conflicts of interest are anticipated, identified, and managed. BSC drives decision making on business selection issues to ensure the firm is committing to the most attractive opportunities. In addition, BSC provides a central hub of information for current and historic involvement in transactions. BSC is a global group based in New York, London and Hong Kong that interacts on a daily basis with investment bankers as well as with various functions within Investment Banking (legal, compliance, finance, business operations). Since all new investment banking mandates must be analyzed by BSC before they are accepted by the firm, the group works in a very demanding, time sensitive environment. The position primarily will be responsible for assisting investment banking deal teams in reviewing and disclosing our material relationships with various potential parties to a transaction. Additional responsibilities will include: Preparing and revising drafts of disclosure statements Liaising with outside counsel on material relationships disclosure in fairness opinions and proxy statements and coordinating with M&A deal teams during the lifespan of a transaction. In addition, this position will take a leading role in BSC’s conflict clearance process, interacting frequently with investment bankers globally as well as internal support partners.
