About The Position

FMR LLC’s Legal Department is seeking a finance attorney to join the Asset Management, Portfolio Management and Transactional Support Legal team supporting the High Income and Alternatives Divisions. The position provides legal support for private credit transactions, distressed debt, and special situations. The attorney will lead a team and provide day-to-day legal advice on financing matters, working closely with internal and outside counsel on workouts and bondholder groups. The role also involves close collaboration with portfolio managers and traders, and regular communication with investment banks, trustees, and other service providers on debt transactions. The work is described as dynamic, challenging, fast-paced, and engaging.

Fidelity is transitioning to a full-time onsite working model through a phased rollout across regions and roles. Current onsite expectations vary by role and location and may evolve. The transition does not apply to fully remote roles. The position’s base salary range is $140,000–$285,000 per year; placement depends on responsibilities and scope, location, relevant experience, and other factors. Bonus or other variable compensation may also be included depending on the position and eligibility. Fidelity does not provide immigration sponsorship for this position.

Requirements

• J.D. and 10–12 years of experience as a transactional attorney.
• Proven management experience leading a team of highly experienced attorneys.
• Experience with large finance transactions, including direct lending and other private credit transactions.
• Law firm or equivalent experience.
• Experience negotiating private credit financing documents, Asset Backed Lines of Credit, Subscription Facilities, and ancillary documentation, including collateral agreements.
• Experience reviewing and negotiating transaction documents, including Indentures, offering materials, marketing materials, and management agreements.
• Experience with large-scale, complex projects involving multiple counterparties, including distressed debt and workout situations.
• Ability to analyze relevant facts quickly and make reasoned, risk-based decisions.
• Strong, practical contract negotiation skills.
• Ability to work independently under pressure in a dynamic environment while managing multiple competing tasks.
• Ability to work as a team member and build relationships with lawyers and non-lawyers across the company.
• Willingness to exercise independent judgment.
• Strong organization, self-motivation, and self-direction, with comfort obtaining approvals and buy-ins from multiple constituents.
• Strong communication and presentation skills, including the ability to explain complex legal concepts clearly and efficiently to non-lawyers.
• Excellent writing and analytical skills.
• Proven leadership and management skills.

Nice To Haves

• In-house experience working with or leading a financing team.
• Experience with the Investment Company Act of 1940, Investment Advisers Act, Securities Act of 1933, and Securities Exchange Act of 1934.
