About The Position

The purpose of the role is to ensure that activities of the investment banking division are conducted in compliance with applicable laws, rules and regulations, and to help the bank manage legal and reputational risks associated with these activities. This role provides legal counsel to Barclays’ growing international corporate and transaction banking businesses as well as its top-tier leveraged finance and institutional lending businesses. In this role, you will provide legal advice and support to front office bankers, product origination and management partners, and risk, compliance, operations and other infrastructure personnel relating to the provision of treasury solutions for Barclays’ corporate and financial institution clients, including cash deposits and payments services (ACH, checks, etc.), escrow services, loans, letters of credit, and receivables financing. You will advise on the structuring, negotiation, syndication, and post-closing management of a variety of domestic and cross-border financing transactions, including leveraged and investment grade acquisition financings, sustainability-linked and green loans, project financings, asset-based loans, debtor-in-possession and exit financings, and working capital and liquidity facilities. You will also counsel internal stakeholders on key strategic initiatives, including the expansion of corporate banking products and services in the Americas, direct lending initiatives, the transition into sustainable finance, and the management of risk-weighted assets. You will draft and negotiate a wide variety of complex transaction documentation, contracts, and syndication and marketing materials, instruct and oversee external counsel engagements, and participate in industry working groups (e.g., LSTA and BPI). You will advise internal stakeholders on legal, contractual, and reputational risks, market terms and developments, and changes to the legal and regulatory landscape and will work closely with other members of the Investment Banking Legal team to support internal projects, enhance policies and procedures, lead legal and compliance trainings, and maintain and update template documentation.

Requirements

  • A Juris Doctor degree from an accredited law school and current New York Bar qualification
  • Experience in bank finance at a top-tier law firm and/or financial institution
  • Proven ability to draft and negotiate complex transaction documentation and legal agreements
  • Familiarity with US banking regulations and securities laws
  • Proven track record of working well on a team and working collaboratively across functions
  • Excellent written and verbal communication skills
  • Demonstrate comprehensive understanding of the organisation functions to contribute to achieving the goals of the business.

Responsibilities

  • Development and implementation of best practice legal strategies to manage risk related to non-adherence to laws, rules and regulations.
  • Legal advice and support to the bank's investment banking division on legal matters including mergers and acquisitions, securities offerings, lending and other corporate finance transactions.
  • Subject matter support in the Legal department’s representation of the bank in legal proceedings related to investment banking activities, such as litigation, arbitration, and regulatory investigations.
  • Creation and/or review of legal documents for the investment banking division to ensure the bank’s adherence with applicable laws, rules and regulations.
  • Maintaining and updating form legal documentation for the investment banking division.
  • Legal research and analysis to stay up to date on changes in laws, rules and regulations that may impact the bank's investment banking activities.
  • Developing and delivering training programmes to educate employees on legal and regulatory requirements related to the investment banking activities.
  • Act as legal advisor to the Investment banking transaction approval committees on laws, rules and regulations.
  • Pro-active identification, communication, and provision of legal advice on applicable laws, rules and regulations (LRRs).
  • Keeping up to date with regards to changes to LRRs in the relevant coverage area.
  • Ensuring that LRRs are effectively allocated to, and adequately reflected within, the relevant policies, standards and controls.
  • Contribute or set strategy, drive requirements and make recommendations for change.
  • Plan resources, budgets, and policies; manage and maintain policies/ processes; deliver continuous improvements and escalate breaches of policies/procedures.
  • If managing a team, they define jobs and responsibilities, planning for the department’s future needs and operations, counselling employees on performance and contributing to employee pay decisions/changes.
  • Lead a number of specialists to influence the operations of a department, in alignment with strategic as well as tactical priorities, while balancing short and long term goals and ensuring that budgets and schedules meet corporate requirements.
  • Demonstrate leadership and accountability for managing risk and strengthening controls in relation to the work your team does.
  • Collaborate with other areas of work, for business aligned support areas to keep up to speed with business activity and the business strategies.
  • Create solutions based on sophisticated analytical thought comparing and selecting complex alternatives.
  • In-depth analysis with interpretative thinking will be required to define problems and develop innovative solutions.
  • Adopt and include the outcomes of extensive research in problem solving processes.
  • Seek out, build and maintain trusting relationships and partnerships with internal and external stakeholders in order to accomplish key business objectives, using influencing and negotiating skills to achieve outcomes.
