About The Position

Our AmLaw 100 client is adding a junior to midlevel transactional tax associate in the Bay Area (SF or Menlo Park). This is a true deal tax seat tied into market-moving corporate work, with meaningful reps and real runway. The role involves advising on tax aspects of M&A and other corporate transactions, structuring and negotiating tax provisions alongside corporate, PE, and finance teams, and working directly with a tight Bay Area tax bench and collaborating across offices on national and cross-border matters.

Requirements

• 1+ year of law firm experience focused on transaction tax, with significant M&A exposure
• Comfortable drafting and negotiating deal documents and tax deliverables
• Sharp issue-spotter who can translate tax into practical deal guidance

Responsibilities

• Advise on tax aspects of M&A and other corporate transactions
• Structure and negotiate tax provisions alongside corporate, PE, and finance teams
• Work directly with a tight Bay Area tax bench and collaborate across offices on national and cross-border matters
