About The Position

The Transactional Project Manager at Evergreen Holdings Corporation will serve as a key member of the legal team, overseeing and managing transactional projects across the organization, including its operating subsidiaries. This role is critical to ensure that all transactions are executed efficiently and in compliance with applicable laws and regulations. Reporting directly to the Chief Legal Officer, the Transactional Project Manager will provide expert project management, coordination with other business functions and units, and support to the legal department, with a focus on contract management, mergers and acquisitions, real estate transactions, and other strategic transactions.

Requirements

  • Bachelor’s degree.
  • Minimum of 10 years of experience in legal project management, with a strong background in transactional law.
  • Proven ability to manage complex transactional projects from inception to completion.
  • Strong negotiation skills with the ability to achieve favorable outcomes.
  • Excellent written and verbal communication skills, with the ability to convey complex concepts to non-legal stakeholders.
  • Proactive and solution-oriented approach to addressing legal and business challenges.
  • Comfortable adopting and applying emerging workplace technology and AI solutions.
  • Strong attention to detail and organizational skills.

Nice To Haves

  • A paralegal degree or certificate is preferred.
  • Experience in a corporate legal department of a holding company or law firm specializing in complex transactional practice.
  • Familiarity with legal and operational issues specific to holding companies.
  • Experience with contract management systems and legal technology tools.

Responsibilities

  • Lead and manage transactional projects ensuring timely and successful completion.
  • Coordinate with internal and external stakeholders to align project goals and deliverables, including legal, finance, benefits, and business functions and units relevant to a particular transaction.
  • Draft, review, and negotiate a wide range of contracts, ensuring compliance with company policies and legal standards.
  • Maintain a comprehensive contract management system.
  • Assist in due diligence, negotiation, and integration planning for mergers, acquisitions, and other strategic transactions.
  • Assist in due diligence, negotiation, and closing of real estate acquisition and divesting transactions.
  • Ensure all transactional activities comply with applicable laws and regulations.
  • Provide guidance on legal risks and mitigation strategies.
  • Work closely with business functions and units, understanding and managing their roles and responsibilities in transactional activities.
  • Foster positive and efficient collaboration among departments to ensure alignment on transactional matters.
  • Engage and manage relationships with external professional services providers, including legal and accounting, and other external stakeholders as needed for a particular transaction.
  • Identify opportunities for process improvements within the legal department and with respect to transaction projects to enhance efficiency and effectiveness.
  • Utilize technology to streamline processes and improve project management capabilities.
  • Manage and maintain the relationship with the registered agent to ensure compliance with statutory requirements and timely handling and filing of legal documents.
  • Provide paralegal support for various legal matters, including research, document preparation, and filings.
