About The Position

At MoFo, we are seeking a skilled and driven Financial Transactions Paralegal to join our Boston office. In this role, you will play an integral part in closing complex financings, public offerings, mergers, and acquisitions. This position is ideal for a sharp, detail-oriented professional who thrives in a fast-paced environment, can manage competing priorities, and possesses both analytical precision and creative problem-solving skills. Responsibilities include drafting UCC financing statements, coordinating lien reviews, guiding corporate formations, and managing closing documentation. You will collaborate with attorneys and clients, utilize cutting-edge technology, and contribute to significant transactions.

Requirements

  • Bachelor's degree preferred, with a minimum of four years of relevant paralegal or comparable legal experience in financial transactions or a related practice area.
  • Proven ability to work independently with minimal supervision, taking full ownership of projects from initiation to completion while proactively identifying and resolving issues.
  • Demonstrated ability to manage multiple concurrent projects under pressure, following complex instructions with a high degree of accuracy and meticulous attention to detail.
  • Strong capacity to research, synthesize, and clearly communicate complex data, paired with excellent written and verbal communication skills.
  • Advanced proficiency in Microsoft Office Suite, including Word, Outlook, Excel, and PowerPoint, with a commitment to leveraging technology to drive efficiency.

Responsibilities

  • Assist in all phases of closings of general financings, public offerings, acquisitions and mergers, and other corporate transactions.
  • Review, prepare and file UCC financing statements.
  • Draft closing certificates and closing checklists, coordinate lien review.
  • Attend closing transactions and assist with document organization; prepare and distribute bound volumes of closing documents.
  • Assist with formation of corporations and ensure that all requirements are met for successful ongoing operations of corporations.
  • Proofread and redline documents.
  • Conduct research and perform library and online searches.
  • May assist with preparation of response to auditor letters.
