About The Position

Withum is seeking a Manager in Transaction Advisory Services with a focus on financial due diligence. This role involves managing project work throughout the financial due diligence process, interacting directly with clients, target company management, and engagement leadership, while also mentoring junior staff. The Transaction Advisory Services (TAS) team assists clients with acquisitions, divestitures, recapitalizations, and strategic transactions by providing high-quality financial analysis and actionable insights. This is a hybrid position based in the Houston, TX office, with an expectation of 3 days in the office per week. Withum emphasizes teamwork, client service excellence, and the personal and professional growth of its team members.

Requirements

  • A bachelor's degree in accounting or finance.
  • 5+ years of related M&A work experience.
  • Active CPA certification or in the process of obtaining one.
  • Experience gained within another large professional services organization; public accounting experience preferred with a focus on energy clients.
  • High proficiency in Excel and PowerPoint.
  • Effective communication skills both internally and externally, promoting active listening and consistently following up on open action items appropriately.
  • Excellent analytical skills and the confidence to translate complex data into meaningful insights.
  • The ability to prioritize effectively on projects and the skills to adapt quickly to new challenges and concepts.
  • Working knowledge of US GAAP.
  • The desire to be a long-term contributor to a dynamic team.
  • Willingness and ability to travel up to 40% on short notice.
  • Experience in a mergers or acquisitions transactions role.
  • Established networking skills in a relevant industry.

Responsibilities

  • Managing multiple work streams simultaneously.
  • Coordinating financial due diligence engagements.
  • Collaborating with client management on diligence focus areas and providing real-time communication of issues and deal considerations.
  • Participating in discussions regarding business performance and forecasting assumptions with senior team management.
  • Identifying and supporting analyses of target financial data to identify valuation and contractual matters for consideration in evaluating quality of earnings, normalized working capital, and items affecting future cash flows.
  • Working on reports detailing findings and recommendations on key financial and business issues in a transaction.
  • Identifying integration, separation, and post-transaction transition issues.
  • Collaborating with other team members and contributing to the ongoing development of M&A best practices.
  • Analyzing financial and operational results of businesses to be acquired or sold through reviewing accounting records, understanding business drivers, and conducting management interviews.
  • Researching industry trends, technologies, seasonality, and cyclicality on cash flow requirements to provide knowledge and insight to clients.
  • Utilizing technology and tools for analyzing datasets and presenting visualizations.
