About The Position

The Senior will be part of the Advisory team as well as function as the primary support of Tax M&A. The Senior will work on engagements supported by Managers, Directors and Partners who will educate, train and promote a great working environment. PKF O’Connor Davies continues to grow its Advisory and Tax practices and the candidate selected will have room for continued advancement and promotion throughout their career.

Requirements

  • 3+ years of U.S. corporate income tax experience in a legal capacity preferably with a law firm, CPA firm or tax department of a major corporation
  • CPA license or J.D. preferred (LL.M. in Taxation preferred)
  • Excellent analytical and problem solving skills
  • Strong accounting knowledge and Excel modeling skills
  • Strong research skills
  • Superior verbal and written communication skills
  • Ability to handle multiple projects at one time
  • Strong attention to detail
  • Ability to work independently and in a fast paced and challenging team environment
  • Experience reviewing documents for corporate governance as well as external contracts
  • Must be able to work in the office a minimum of 3 days per week and travel to other PKFOD offices as needed.

Responsibilities

  • Assist clients in corporate and private equity tax matters, including but not limited to: research and assessment of federal tax issues involving entity formation, deal structuring, M&A tax due diligence, and business tax advisory.
  • Perform due diligence, including the review of tax returns, financials, and other tax/non-tax documentation to assess tax risks and identify opportunities for tax efficiencies
  • Review transaction documents including purchase agreements and disclosure schedules
  • Develop and communicate complex tax models, tax benefit analysis, and other tax calculations
  • Provide tax advice and support to clients and their legal advisors
  • Conduct legal research and apply tax law to transaction scenarios (including modeling)
  • Keep apprised of issues relevant to the accounting industry as well as federal, state and local tax laws
  • Monitor emerging tax issues that could impact clients, such as private equity firms
  • Perform special projects assigned
