Tax Manager | Partnership Tax and Modeling
About The Position
CBIZ is seeking a highly motivated Tax Manager to join our Partnership Tax & Modeling practice. This role serves as a key advisor on complex partnership tax matters and works closely with clients, Partners, and engagement teams to develop tax-efficient structures, evaluate transactional opportunities, and analyze the tax implications of partnership activities. The ideal candidate will possess deep technical expertise in partnership taxation of operating partnerships, strong analytical and modeling capabilities, and experience advising clients on complex transactions, ownership changes, and strategic tax planning initiatives. This position offers the opportunity to work on sophisticated operating partnerships and pass-through entity matters, including mergers and acquisitions, restructurings, joint ventures, and other strategic transactions.
Requirements
- Bachelor’s degree
- 5 years of experience in public accounting or related field
- 3 years supervisory experience
- Must have active CPA or equivalent certification
- Ability to manage all aspects of client engagements
- Demonstrated ability to communicate verbally and in writing throughout all levels of organization, both internally and externally
- Must be able to travel based on client and business needs
- Proficient use of applicable technology
Nice To Haves
- Master’s degree in Taxation, JD, or LLM in Taxation.
- Experience advising clients on partnership taxation, pass-through entities, and complex transaction structures.
- Experience developing and reviewing partnership tax models, allocation analyses, and transaction computations.
- Strong technical knowledge of Subchapter K, including Sections 704(b), 704(c), 751, and 752.
- Experience supporting mergers and acquisitions, restructurings, recapitalizations, joint ventures, and other strategic transactions.
- Experience serving private equity fund portfolio companies, operating partnerships, and closely held businesses.
- Demonstrated ability to manage multiple engagements and competing priorities in a fast-paced environment.
- Experience preparing tax basis balance sheets, technical memoranda and communicating complex tax concepts to clients and internal stakeholders.
- Ability to think critically with strong analytical, quantitative, project management, and client service skills.
Responsibilities
- Advise clients on complex partnership tax matters, including entity structuring, ownership changes, mergers and acquisitions, recapitalizations, joint ventures, and other strategic transactions.
- Develop, maintain, and review partnership tax models used to evaluate transaction structures, partner economics, allocations, basis adjustments, and tax consequences.
- Lead complex tax modeling and computation projects related to partnership transactions, restructuring initiatives, and strategic tax planning engagements.
- Analyze partnership agreements, operating agreements, and transaction documents to identify tax implications, planning opportunities, and potential risks.
- Research complex partnership tax issues and prepare technical analyses, memoranda, and recommendations for clients and engagement teams.
- Collaborate with clients, attorneys, valuation professionals, and other advisors throughout the transaction lifecycle.
- Identify and communicate tax planning opportunities and practical solutions to address complex client business objectives.
- Mentor, coach, and develop tax professionals through technical guidance, performance feedback, and training opportunities.
- Remain current on emerging partnership tax legislation, regulations, and industry developments.
