About The Position

The Ontario Securities Commission (OSC) is the statutory body responsible for regulating Ontario’s capital markets. The OSC's mandate includes providing investor protection, fostering fair and efficient capital markets, promoting capital formation, and contributing to financial system stability. This role is within the Corporate Finance Department, which regulates issuers in public and exempt markets, reviews distributions and exempt market activities, and oversees continuous disclosure, insider reporting, credit rating agencies, and listed issuers. The Syndicated Mortgage and Real Estate Specialist will collaborate with legal counsel and accountants on compliance reviews, prepare continuous disclosure planning memos for real estate issuers and alternative mortgage lenders, provide expert guidance on policy initiatives, and design and implement staff training related to Syndicated Mortgage Investments (SMI)/Real Estate Investments.

Requirements

  • University degree in Economics, Business, Finance or Accounting.
  • Minimum six (6) years of senior level experience in the financial services industry with in-depth expertise in the real estate and/or mortgage sector and capital markets.
  • Demonstrated ability to be forward-thinking with a strategic mindset.
  • Strong analytical skills with attention to detail.
  • Clear and concise verbal, written communication and presentation skills.
  • Interact professionally with both internal and external stakeholders.
  • Respond to ad hoc, unstructured problems with planning, flexibility, communication and execution.
  • Conduct research, analyze, problem solve and synthesize findings.
  • Work with a high degree of independence, prioritize and meet strict deadlines.
  • Knowledge or experience in the securities industry.

  • Graduate degree in Economics or Business is an asset.
  • Completion of the Canadian Securities Course or similar program in securities regulation is an asset.

Responsibilities

  • Act as a subject matter expert consultant on exemptive relief, regulatory approvals, and prospectus reviews for real estate business models, and registrant conduct and enforcement matters related to SMI/Real Estate Investments.
  • Proactively stay abreast of market developments as it relates to SMI/Real Estate Investments and provide strategic advice to OSC Division leadership on emerging risks and trends.
  • Independently develop and recommend risk criteria, including risk rankings of underlying mortgage portfolios for issuers of SMI/Real Estate Investments, to enable identification of higher risk issuers and investments and support efficient allocation of staff resources.
  • Work collaboratively with Corporate Finance Department staff to prepare continuous disclosure industry planning memos for real estate issuers and alternative mortgage lenders.
  • Provide expert advice and insight on novel and complex SMI/Real Estate Investments subject to compliance, including reviewing investment structures to identify investor protection “red flags” in connection with fees, appraisals, or commonly used real estate performance ratios.
  • Participate in meetings with market participants to explain regulatory concerns and arrive at appropriate compliance outcomes.
  • Work collaboratively with legal counsel and accountants to identify appropriate resolution of reviews and, if applicable, prepare briefing materials for management and referrals to other Divisions.
  • Foster collaboration and information exchange with other regulatory bodies in Ontario and other provincial jurisdictions, facilitating joint actions.
  • Identify appropriate data sources for cost-benefit analyses required for rulemaking and provide advice on identifying and quantifying costs and benefits to market participants.
  • Design and implement periodic staff training sessions on SMI/Real Estate investments.
