The incoming Staff Attorney will serve as a core execution and due diligence specialist within a high-volume esoteric structured finance team. Working alongside leading partners and senior associates, this role is critical to maintaining deal velocity, quality control, and procedural integrity across pioneering asset-backed securitizations.

Requirements

  • Juris Doctor (J.D.) from an ABA-accredited law school with distinguished academic credentials.
  • Active Bar Membership in the state of New York, or eligibility to waive in promptly.
  • Established Background in capital markets, financial transactions, or structured finance, preferably within a large law firm setting.
  • Technical Proficiency with document management, Microsoft Office Suite, Adobe Acrobat Professional, and legal technology platforms.
  • Exceptional organizational, analytical, and written communication skills capable of handling tight turnarounds in a fast-paced environment.

Nice To Haves

  • Prior experience building, managing, or auditing transaction closing processes and post-closing monitoring systems.
  • Specific exposure to esoteric securitization asset classes, such as digital infrastructure, renewable energy, or IP/royalty revenue streams.
  • Proven ability to lead cross-functional due diligence reviews independently and manage multi-faceted projects across complex timelines.

Responsibilities

  • Coordinating and Supervising Legal Due Diligence and quality-control protocols for offering memoranda, disclosure documents, and transaction files.
  • Liaising with Financial Issuers, investment bankers, auditors, and management teams to validate factual disclosures and substantiate investor materials.
  • Preparing and Maintaining critical deal infrastructure, including critical dates lists, transaction checklists, UCC financing statements, and regulatory filings.
  • Supporting Exempt and Registered Securities Offerings alongside structured private credit facilities within whole-business, digital infrastructure, and media royalty spaces.
  • Synthesizing Market Intelligence by tracking industry trends, producing internal reports, and drafting client-facing business development material.
