About The Position
The Staff Attorney - Private Funds will assist Associates, Counsel, and Partners with a range of private funds matters. The role includes reviewing and preparing documents and agreements for fundraising, secondary transfers, and ongoing fund maintenance. The position also supports fund formation, investor onboarding and closings, AML and KYC review and compliance, and ongoing fund-related work.
Requirements
- J.D. from an ABA-accredited law school.
- Admission to the bar of the local office jurisdiction.
- Strong technical and computer skills.
- Excellent written and oral communication skills.
- Strong organization and time management skills.
- Ability to manage multiple tasks and demands on time.
- Strong attention to detail.
Nice To Haves
- Knowledge of Excel, iManage, and Word.
Responsibilities
- Assist with fund formation and document drafting for a range of private fund clients.
- Review and track investor subscription documents.
- Assist with investor onboarding.
- Manage fund closings.
- Prepare basic funds-related agreements, including transfer agreements.
- Work with clients and investors to process and close secondary transfers.
- Compile key documents, including master side letters and most favored nation clause compendiums.
- Assist with AML and KYC review and compliance.
- Assist with ongoing fund and compliance work.
- Perform other tasks as needed.
