About The Position

The Sr Legal Counsel, Nuclear and Infrastructure is responsible to provide a wide range of legal advice and services to the international prime contract (IPC) business lines to promote trade between Canada and other countries, leads complex files, engages with a range of stakeholders, and provides strategic advice and services to the executive level to facilitate corporate planning, reporting, and governance.

Requirements

  • Completion of bachelor’s degree
  • Admission to the Law Society of Ontario or of another Province or Territory
  • Minimum of eight (8) years of experience in commercial and corporate law
  • Knowledge of issues, trends, best practices, and challenges related to core mandate and program area, infrastructure construction, commercial export operations, and international contracting
  • Knowledge of office productivity software and databases, discipline-specific software, enterprise software, and technology devices
  • Knowledge of relevant governing legislation, regulations, and guidelines
  • Knowledge of relevant economic, political, legal, cultural, and social contexts of partners and stakeholders

Nice To Haves

  • Bilingual in both Official Languages is strongly recommended.

Responsibilities

  • Provides strategic advice to the Vice-President, other senior executives, and the board on legal, business, and management issues.
  • Provide legal review of complex nuclear and other infrastructure projects across their full lifecycle.
  • Review, draft and negotiate a wide range of commercial contracts, including joint venture agreements and subcontracts.
  • Prepares a range of submissions and briefs for external stakeholders (ministry and Treasury Board) on individual projects as well as overarching policy.
  • Participates in external stakeholder meetings, reviews, interprets, and negotiates contracts between exporter and buyer, and mitigates risk and liability for CCC.
  • Provides legal advice to officers, senior officials, and the board on individual projects as well as overarching policy and procedures.
  • Participates in negotiation and drafting of a variety of agreements of varying complexities, with a particular focus on unique or novel international infrastructure commercial transactions from initial steps to execution.
  • Leads and reviews legal documents and correspondence on a project-to-project basis to determine legality and adherence to guidelines and standards; recommends alternatives in cases of non-compliance to ensure legally acceptable decisions.
