About Global Payments Solutions (GPS): HSBC’s Global Payments Solutions (GPS) business sits within Corporate and Institutional Banking (CIB) and is a leading transaction banking franchise, supporting clients across 50+ markets with cash management, liquidity, payments, and commercial card capabilities—from traditional correspondent banking to real-time payment rails and emerging digital-asset adjacent solutions. The U.S. GPS Legal team supports this product suite for some of HSBC’s most sophisticated institutional clients. We operate in a lean, high-impact environment and partner closely with Product, Sales, Coverage, Operations, Technology, Compliance and Risk to deliver secure, scalable solutions.

Requirements

  • Juris Doctor with active bar admission (New York, Illinois, or Washington D.C, preferred; other U.S. jurisdictions considered for the right candidate)
  • Post-qualification experience advising on payments, transaction banking, or cash management matters, gained at a major financial institution and/or top-tier law firm
  • Strong working knowledge of U.S. payments legal frameworks and industry rules relevant to the role (e.g., UCC 4A, NACHA, and other applicable rail/system rules)
  • Demonstrated ability to draft and negotiate complex commercial arrangements directly with sophisticated counterparties
  • Ability to translate regulatory complexity into clear, commercially practical advice, delivered at pace
  • Excellent communication and influencing skills with the gravitas to advise senior stakeholders, respond to colleagues and business partners promptly (even when the final answer is not yet available), and navigate demanding institutional client relationships
  • Consistently and eagerly work on enhancing and upgrading skills leveraging internal and external sources
  • Collaborative mindset with a positive, solutions-oriented attitude; comfortable working across time zones and functions in a lean, high-impact team environment

Responsibilities

  • Provide legal advice to GPS Product, Sales and Operations across U.S. payment services, including ACH (credit/debit and same day), wires, real-time payments, checks, lockbox, remote deposit capture, image cash letter, controlled disbursements, and global disbursements
  • Draft, review and negotiate client documentation and product terms, including: master services agreements / terms and conditions, account mandates and service schedules, API/connectivity and implementation documentation, bespoke solution terms, term sheets and client-facing amendments
  • Lead or support Deposit Account Control Agreement (DACA) negotiations and escalations, coordinating with offshore teams and external counsel as needed.
  • Advise on liquidity and deposit products/structures, including cash concentration/ZBA, operational deposit accounts, interest and earnings structures, and liquidity investment solutions (LIS), as well as structures involving brokered and distributed deposits (e.g., insured cash sweep programs)
  • Support cross-border cash management mandates, including structures such as virtual accounts and cross-border sweeping, partnering with relevant in-country counsel and global stakeholders
  • Provide legal support for commercial card products (e.g., corporate T&E, purchasing, virtual card) and associated network/issuer/vendor arrangements (e.g., processors and platform partners)
  • Advise on legal and regulatory issues for new product development and strategic initiatives (examples may include tokenized deposits, programmable payments concepts, digital-asset adjacent arrangements, and DLT-based settlement models, subject to applicable approvals and controls)
  • Support initiatives such as next generation Virtual Account Management (ngVAM) and other digital payment/treasury capabilities
  • Partner with business and technical teams on fintech partnerships, BaaS/platform integration contracting, and data/APIs—helping structure liability allocation, operational risk controls and customer outcomes
  • Advise on key U.S. legal and regulatory frameworks relevant to GPS products, which may include: UCC Articles 3, 4 and 4A (including New York law concepts where applicable), EFTA / Regulation E (as relevant to products in scope), Scheme/system rules (e.g., NACHA, RTP and other rail operating rules as applicable), Deposit regulatory considerations (including FDIC topics relevant to product design and disclosures), BSA/AML, KYC and sanctions considerations as they intersect with payment flows (in partnership with FCC/Compliance)
  • Contribute to governance and control processes (e.g., new product approvals, third-party risk, regulatory change assessments, and risk acceptances), ensuring legal issues are identified early and addressed in a pragmatic, well-documented way, and
  • Support escalation management, including client issues and disputes relating to payment products and services when referred to Legal
