About The Position

Tenstorrent is seeking a Senior In-House Counsel to lead key legal functions and collaborate with teams across the organization. This role involves end-to-end ownership of contract lifecycles, from drafting and negotiation to execution and management, while mitigating legal and compliance risks. The ideal candidate will be a hands-on, adaptable advisor comfortable in a fast-paced startup environment, managing competing priorities in commercial contracting, data privacy, security, compliance, and general business matters. This role will also focus on building processes and playbooks to facilitate business operations.

Requirements

  • JD and active state bar membership.
  • 5+ years of experience in a law firm or in-house legal department.
  • Experience in a technology, semiconductor, hardware, chip manufacturing, or supplier environment is strongly preferred.
  • Experience drafting, structuring, negotiating, executing, and managing complex commercial agreements across the full contract lifecycle (MSAs, SOWs, software and technology licenses, SaaS and cloud services agreements, NDAs, data processing (DPA) and AI addenda, hardware sales, channel partner agreements, marketing arrangements, and vendor/supplier agreements).
  • Experience with templates, playbooks, and fallback positions that enable business contracting at scale.
  • Experience drafting and negotiating supply chain and manufacturing agreements, including foundry, manufacturing, procurement, supply, logistics, and third-party logistics (3PL) agreements.
  • Experience advising on global data protection, privacy, cybersecurity, and cross-border data transfer issues: DPAs, SCCs and transfer mechanisms, security terms, audit rights, breach and incident notification, and permitted data use, under frameworks such as GDPR, CCPA, and APPI.
  • Experience providing practical legal advice across functions (Leadership, Engineering, Product, Sales, Supply Chain, Finance, Security, IT, People, and Operations).
  • Exceptional negotiation and organizational skills.
  • Eligibility to access U.S. export-controlled technology.

  • Serve as a trusted advisor to internal stakeholders, external partners, and vendors.
  • Independently own competing priorities across commercial contracting, data privacy and security, compliance, and broader business matters.
  • Build processes and playbooks to help the business move quickly and confidently.
  • Create templates, playbooks, fallback positions, and CLM workflows to scale business operations.
  • Advise on global data protection, privacy, cybersecurity, and cross-border data transfer issues.
  • Provide practical legal advice across various functions including Leadership, Engineering, Product, Sales, Supply Chain, Finance, Security, IT, People, and Operations.
  • Draft and negotiate complex agreements for commercial growth and strategic partnerships.
  • Design legal infrastructure that scales, including CLM workflows.
