T-Mobile has an exciting opportunity for an attorney to join its Legal Team and work at its corporate headquarters in Bellevue, WA. We are looking for an experienced transactional attorney to be a part of the T-Mobile legal team that is dedicated to supporting T-Mobile’s Corporate Strategy and Spectrum teams in M&A work as they continue to grow. T-Mobile has publicly announced billions of dollars of M&A transactions over the last several years and will continue to pursue additional M&A opportunities. This position’s primary role will be to support a steady flow of high-value M&A transactions, steering the deal process from inception through closing and beyond. The right candidate will be able to hit the ground running and provide informed, risk-adjusted and practical legal and business advice across the enterprise to the teams who engage in this work. Recent deals supported by this team have included the acquisition of wireless assets from U.S. Cellular for $4.4 billion, the formation of two separate joint ventures to acquire fiber internet companies, and over 100 spectrum acquisitions. What you’ll do in your role.

Requirements

  • A U.S. law degree and a minimum of 7 years of experience drafting, reviewing, and negotiating complex transactions as a transactional attorney, with top law firm and/or relevant in-house experience.
  • Strong understanding of transactional law and experience with M&A and joint venture transactions generally.
  • Keen pragmatic business sense with solid judgment and analytical skills, including the ability to translate the needs of senior leaders into action.
  • Proven ability to excel working cross-functionally with multiple clients in a fast-paced environment.
  • Ability to work independently and efficiently to meet demanding deadlines.
  • Client-oriented interpersonal skills.
  • Top-tier oral and written communication skills.
  • Impeccable attention to detail and strong sense of pride in work product.
  • Current bar membership (in good standing) in at least one U.S. state; eligibility for admission to Washington bar.
  • At least 18 years of age
  • Legally authorized to work in the United States

Responsibilities

  • Drafting, reviewing, structuring and negotiating the various components of a wide range of stock and asset purchase agreements, spectrum leases, and spectrum acquisition agreements, including associated term sheets, disclosure schedules, non-disclosure agreements, transition services agreements, joint venture agreements, etc.
  • Drafting, reviewing, and negotiating documents associated with early round investments by T-Mobile in growth companies identified by T-Mobile’s corporate strategy team, including all associated documents associated with the applicable equity round.
  • Managing the governance of T-Mobile’s joint ventures and advising on associated issues.
  • Working cross-functionally across tax, accounting, regulatory, privacy/cybersecurity, HR, and others.
  • General legal advice and creative problem solving.
